WFW advises Everwood on acquisition and financing of 15 Spanish PV installations

Watson Farley & Williams (“WFW”) has advised Everwood Capital S.G.E.I.C., S.A. (“Everwood”) on the acquisition of 15 photovoltaic installations in Spain. 10 of the installations are located at the 50 MW Olmedilla de Alarcón plant in Cuenca and five at the 900 KW Gerindote plant in Toledo. Everwood made the acquisitions via its SPV Everwood Fotovoltaica I SICC, S.A fund.

WFW advises BNP Paribas REIM Germany on acquisition of 13,500 sqm Berlin building

Watson Farley & Williams (“WFW”) has advised BNP Paribas Real Estate Investment Management Germany (“BNP Paribas REIM”) on the acquisition of a building at Schönhauser Allee 120/122a in the hip Berlin district of Prenzlauer Berg. This is the second property BNP Paribas REIM has acquired for the Real Value Fund it launched together with Cording Real Estate Group (“Cording”). The building was sold by a joint venture in which Tristan Capital Partners LLP and caleus capital investors GmbH are both stakeholders.

WFW advises IKAV on new photovoltaic investment in Italy

Watson Farley & Williams (“WFW“) advised IKAV EE S.a.r.l. (“IKAV”), a Luxemburgish fund specialising in renewable energy, on the acquisition of a 1 MW photovoltaic plant in the province of Rovigo (Veneto Region, Italy).

The plant was sold by an Italian renewables company.

WFW advised on all due diligence aspects of the acquisition, with a focus on regulatory and authorisation issues, as well as on commercial contract matters.

Delphi has assisted BrainCool AB (publ) in the acquisition of the assets of Benechill, Inc.

Delphi has been legal advisor to BrainCool in the acquisition of the assets of the American company Benechill.

The acquisition includes all assets such as patents, trademarks, goods inventory and all rights to the product RhinoChill® which is a CE-marked product currently undergoing a clinical study for cardiac arrest patients.

BrainCool is a Swedish medical device company that has been listed on Aktietorget since May 2014.

DLA Piper advises AustrianSolar on the sale of 100 MW (AC) solar project in Chile

DLA Piper has advised AustriaSolar Group on the sale of its subsidiary AustrianSolar Chile Cinco SpA, to SunPower El Pelicano Holding Company SpA, an affiliate of SunPower Corporation.

SunPower Corporation’s majority shareholder TOTAL S.A. is one of the world’s leading companies in the energy sector, active in the field of conventional and renewable energies. The divested company owns a photovoltaic project in Chile (El Pelicano) which has a capacity of 100 MW (AC).

Austria: Schoenherr advises HanseMerkur Grundvermögen on acquisition of commercial properties from conwert

Schoenherr has advised HanseMerkur Grundvermögen AG ("HMG") on the acquisition of a EUR 331m portfolio of commercial properties for its real estate property fund HMG Grundwerte Chancen, from conwert Immobilien Invest SE ("conwert"). The purchase agreement was announced on 2 November 2016 while the closing of the transaction is expected by the end of the year following approval from the competition authorities.
 

Novozymes to build new innovation campus in Denmark

World leader in biological solutions, Novozymes, builds its new innovation campus in Denmark comprising more than 30,000 m2 of research and office facilities at a newly acquired 140,000 m2 location near Copenhagen. Plesner has assisted Novozymes in the purchase of the location and during negotiations with turnkey contractors.
Completion of Novozymes' new innovation campus has come one significant step closer, as the turnkey contract has now been negotiated and concluded.

Osborne Clarke has advised Megaport Limited (ASX:MP1) on its acquisition of internet hub ECIX. With the acquisition, the Australian network service provider extends its presence in Europe.

Megaport is the world's leading supplier of elastic interconnection services. The company’s global platform allows customers to connect their network with other services via SDN (Software Defined Networking) in the Megaport Fabric. Customers can control the services via mobile devices, computer and open API.
