CMS BELGIUM ASSISTED SOCIETE GENERALE IN THE SALE OF ITS PRIVATE BANKING AND WEALTH MANAGEMENT ACTIVITIES IN BELGIUM TO ABN AMRO

CMS Belgium assisted the French banking group Societe Generale in the sale of its private banking and wealth management activities in Belgium to ABN AMRO. The transaction was signed on 30 July 2018 and completed on 28 February 2019 upon obtaining the required regulatory and merger control approvals.

The CMS team that assisted Societe Generale included Arnaud Van Oekel, David Prync, Alice Pilate, Benoit Vandervelde and Joelle Froidmont.

Benson Elliot and Walton Street Capital Sell Last Hotel from Host Portfolio

London – Paul Hastings LLP, a leading global law firm, announced today that it has advised a joint venture between private equity real estate fund managers, UK-based Benson Elliot and US-based Walton Street Capital, in partnership with Schroders, on the corporate sale of the Sheraton Warsaw to Patron Capital.

The sale of the Sheraton Warsaw was the last from a portfolio which the joint venture acquired in 2015 from Host Hotels, which consisted of eight prime hotels in seven major cities across five countries.

Loyens & Loeff advised Round Hill Capital, a UK based real estate investment and management firm, on the disposal of the largest residential property portfolio in the Netherlands based on units, consisting of 9,544 houses, 12,100 sq m of commercial space and parking spaces, to Heimstaden AB for a total value of EUR 1,4 billion. In this transaction, Loyens & Loeff provided integrated legal (corporate and real estate) and tax advice.

Bryan Cave Leighton Paisner has advised Australian superannuation fund MTAA Super on the sale of its interests in DCT Gdansk, the largest container terminal in Poland, to a consortium of international investors including PSA International, the Polish Development Fund and the IFM Global Infrastructure Fund, managed by IFM Investors.

Ashurst advises Transport for London in relation to sale and leaseback of Elizabeth line trains

International law firm Ashurst has advised long term client Transport for London ("TfL") in relation to the sale and leaseback of the Elizabeth line trains to 345 Rail Leasing Limited - a consortium comprising Equitix, NatWest and SMBC Leasing.

The deal releases approximately £1 billion of capital to reinvest into London's transport network, including delivering a fleet of new Piccadilly line trains.

Gide has advised groups AXA and BNP Paribas on the transfer of AXA's insurance activities in Ukraine to Canadian insurance and re-insurance group Fairfax Financial Holdings Limited.

The transfer, signed on 21 October 2018, was carried out on 14 February 2019.

Gide's team comprised partners Hugues Scalbert and Jean-Gabriel Flandrois, with associates Pierre-Antoine Degrolard and Rémi Avon on corporate aspects.

Top 40 law firm Trowers & Hamlins has advised existing client Apache Capital Partners on the sale of its asset for over £160m, in Shoreditch, London.

A joint venture comprising of Greystar Real Estate Partners, the Public Sector Pension Investment Board (PSP Investments) and Allianz Real Estate has contracted to buy Paul St. East, a 458-bedroom purpose-built student accommodation (PBSA) scheme in Shoreditch for over £160 million.
