Advising Infineon Technologies AG on the sale of its Newport manufacturing site

Simmons & Simmons has advised Infineon Technologies AG, the Munich-based semiconductor manufacturer, on the sale of its Newport manufacturing site to Neptune 6 Ltd, a private company.

The transaction has received support from the Welsh Government. Infineon and Neptune 6 have also entered into a two-year supply agreement to ensure smooth transition phase. The buyer will operate the site under the name Newport Wafer Fab Ltd.

Herbert Smith Freehills advises Origin Energy on the $1.585 billion sale of Lattice Energy

Herbert Smith Freehills has advised Origin Energy on the sale of its conventional upstream oil & gas business Lattice Energy to Beach Energy for $1.585 billion. Lattice's assets comprise a portfolio of conventional upstream assets in Australia and New Zealand, including interests in the Otway, BassGas, HBWS, Kupe, Cooper Basin and Perth Basin gas projects.

Ashurst advised Folsom HoldCo 4 S.à r.l., a holding company managed by private equity investor Kildare Partners (Kildare), on the sale of a real estate loan to Apollo Global Management (Apollo) and the Silverton Group (Silverton).

Kildare had taken over the loan in 2015 in the course of the acquisition of GE Capital Real Estate's German real estate portfolio.

Davis Polk Advises Solvay on the Divestment of Its Polyamides Business to BASF

Davis Polk advised Solvay on the signing of a binding agreement with German chemical company BASF for the sale of its Polyamides business. Under the proposed terms of the agreement, the transaction is based on an enterprise value of €1.6 billion. The transaction covers Solvay’s upstream and downstream polyamides business in Europe, North America and Asia, as well as the downstream engineering plastics business in Latin America and involves around 2,400 Solvay employees. Solvay will retain its upstream intermediates and downstream textile polyamide business in Latin America.

Houthoff Buruma advised MN acting on behalf of Stichting Pensioenfonds Metaal en Techniek and Stichting Bedrijfspensioenfonds voor de Koopvaardij, in the sale of the office portfolio Mercury to Bryant Park Netherlands Acquisition III. The Mercury portfolio exists of six properties, located in and around Amsterdam, Rotterdam and Utrecht, with a total of 21,567 m2 office space and 1,890 m2 retail space.

Osborne Clarke advises EY on the €236m sale of Eschborn Plaza by Commerz Real to Aurec Group

Osborne Clarke has advised EY, tenant of the “Eschborn Plaza”, on the building’s saleto Aurec Group. Commerz Real has sold the office ensemble in Eschborn, Frankfurt am Main for 236 million euro. The new owner is a consortium of institutional investors led by asset manager Aurec Group.

The Eschborn Plaza is part of the Commerz Real Fund CFB and has around 42,0000 square metres of office space.
