Ashurst advises First Reserve on the sale of its SunReserve solar plants

Ashurst advised the private equity firm First Reserve on the sale of its Italian solar PV assets of SunReserve to Tages Helios, an infrastructure fund managed by Tages Capital SGR, established to invest in the Italian photovoltaic sector.

The portfolio comprises nine solar parks with a total power capacity of 101 MW and includes the Rovigo plant, one of the largest in Europe with a capacity of about 70 MW in an area of over 850 thousand square meters. Overall, the portfolio generates about 135 GWh per year.

AG supported Hitachi Rail Europe on sale of 7 additional bi-mode trains to Great Western Railways

The electric and diesel powered trains, financed by Eversholt Rail Group, will deliver faster more frequent services and additional seats for customers travelling on the Great Western Main Line.

These Inter City trains are in addition to the 57 trains Hitachi is delivering to GWR as part of the UK government's Intercity Express Programme (IEP) from next year, and follow on from the 29 trains ordered in 2015.

Norton Rose Fulbright has advised TH Real Estate on the sale of three shopping centre portfolios

Global law firm Norton Rose Fulbright has advised TH Real Estate on the €250 million sale of three shopping centre portfolio companies in Italy and Spain to a joint venture between TPG Capital and Partners Group.

The properties are located in Bologna and Cosenza (Italy), and Elche (Spain) with a total floor space of approximately 70,000 sq.m.

Thommessen's Bergen office has assisted Jo Tankers in connection with the sale of its chemical tanker operations and a joint venture stake to Stolt-Nielsen Limited.

Chemical company Stolt-Nielsen Limited is acquiring parts of Jo Tankers' business for $ 575 million dollars (approximately 4.85 billion kroner).

Jo Tankers has been assisted by a team led by Hans Olav Lindal and Bjørn Sande Urtegaard.

The transaction is expected to close by the end of September this year.

KWM advises GE on sale of Commercial Distribution Financial business to Wells Fargo

King & Wood Mallesons has advised General Electric (GE) on the sale of its Commercial Distribution Finance (CDF) business in Australia and New Zealand to Wells Fargo.

Listed on the NYSE, Wells Fargo delivers banking, insurance, investments, mortgage, and consumer and commercial financial services.

The acquisition includes CDF assets, and 123 team members across 5 sites in Australia, along with CDF assets and 7 team members across 2 sites in New Zealand.

Eversheds has advised Empire Cinema Group (Empire) on its £94m sale of five cinemas to Cineworld Group plc, including the iconic Empire Leicester Square, and its acquisition of the Haymarket Cinema in London’s West End.

Cineworld, one of the leading cinema groups in Europe, purchased the nine-screen Empire Leicester Square multiplex, a London venue often used for international film premiers; an 18-screen multiplex in Basildon; a 17-screen multiplex in Hemel Hempstead; a 16-screen multiplex in Poole; and a four-screen cinema in Bromley.

Hengeler Mueller advises Emerson on sale of sensor production

TS Temperatur Sensorik GmbH, a subsidiary of WIKA Group, located in Klingenberg (Bavaria), acquired the Karlstein based sensor production from Emerson Process Management GmbH & Co. OHG by way of an asset deal. The purchase price was not disclosed by the parties.

The Karlstein location of Emerson Process Management produces the product line "custom sensors", that is sensors which are manufactured to customer specifications and which are used in the field of temperature measurement.

DLA Piper advises AustrianSolar on the sale of 100 MW (AC) solar project in Chile

DLA Piper has advised AustriaSolar Group on the sale of its subsidiary AustrianSolar Chile Cinco SpA, to SunPower El Pelicano Holding Company SpA, an affiliate of SunPower Corporation.

SunPower Corporation’s majority shareholder TOTAL S.A. is one of the world’s leading companies in the energy sector, active in the field of conventional and renewable energies. The divested company owns a photovoltaic project in Chile (El Pelicano) which has a capacity of 100 MW (AC).
