Silverfleet Capital’s Financing of the Acquisition of Prefere Resins

Shearman & Sterling advised Silverfleet Capital on the financing of the acquisition of Prefere Resins Holding GmbH, a leading European resin manufacturer.

Prefere Resins was built through the acquisition of plants owned by Neste and Perstorp in 2000. Headquartered in Erkner, situated on the outskirts of Berlin, Germany, the company is a European market leader in the development, production and sale of phenolic and amino resins which are used as a binding agent across the construction, insulation and industrial sectors.

Ashurst advising Pemberton on financing the acquisition of Dunlop Protective Footwear by EQT

Ashurst is advising Pemberton Capital Advisors LLP (Pemberton) on the financing of the acquisition of a majority stake in Dunlop Protective Footwear (DPF), the leading global manufacturer of protective wellington boots, by investment firm EQT. Pemberton will support the transaction with a second lien loan. ABN Amro, Bank of Ireland, Idinvest, ING, NIBC, SEB and SMBC will provide senior financing. The vendor Gilde Equity Management will reinvest significantly as part of the transaction, retaining a minority stake in Netherlands-headquartered DPF.

Simpson Thacher Represents KKR on Its Acquisition Financing for Unilever’s Spreads Business

Simpson Thacher is advising KKR on a high yield bond offering to finance a portion of its acquisition of Unilever’s global Spreads business. Sigma Holdco B.V., a KKR special purpose vehicle, has completed a Rule 144A and Regulation S offering of $525 million aggregate principal amount of its 7.875% Senior Notes due 2026 and €685 million aggregate principal amount of its 5.75% Senior Notes due 2026.

White & Case Advises VTB Bank on Financing for Acquisition of Biggest Russian Electronics Retail Chain

Global law firm White & Case LLP has advised VTB Bank on a secured term loan provided to Russian retail chain PJSC M.video, which is owned by SAFMAR Group, for the acquisition of the shares in Russian retail chain Eldorado.

SAFMAR Group intends to consolidate its retail assets by the first quarter of 2019 and become a key player in the Russian consumer electronics retail market.

WFW advises BPM on VSL refinancings

Watson Farley & Williams (“WFW“) has advised BPM S.p.A. (Gruppo Banco BPM – “BPM”) on two loan facilities to finance the reorganisation of Eco Shipping and Serenissima, which is owned by Venice Shipping and Logistics SpA (“VSL”).

VSL intends to use the funds raised via the loans to improve the performance of its Giulia I and R Serena R bulk carriers, whose technical management is overseen by the Ishima d’Amico Group, with greater financial flexibility thanks to improved credit lines.

Global law firm White & Case LLP has advised Consolidated Energy Finance S.A., a financing subsidiary of Switzerland-based leading international methanol and fertilizer manufacturer Consolidated Energy Limited AG, on a new $825 million credit facility.

The transaction consists of a $225 million revolving credit facility and a $600 million institutional term loan B.
