Ashurst advises on Clarkson PLC's £281m reverse takeover of RS Platou ASA and related £31m cash box placing

Ashurst advised Nomura International plc ("Nomura") and Panmure Gordon (UK) Limited ("Panmure Gordon") on the £281 million reverse takeover by Clarkson PLC ("Clarkson") of RS Platou ASA and Clarkson's related cash box placing. Nomura acted as Clarkson's sponsor and financial adviser in relation to the reverse takeover. Panmure Gordon acted as Clarkson's sole bookrunner in connection with a cash box placing of up to 8.5 per cent. of Clarkson's issued share capital, raising gross proceeds of approximately £31 million.

Ashurst advises on £725m recommended bid for Advanced Computer Software Group

Ashurst is advising Goldman Sachs in relation to the £725 million recommended cash offer by Air Bidco for Advanced Computer Software Group plc, announced today. Air Bidco is an investment vehicle indirectly owned by the Vista Funds.

Advanced Computer Software Group is a leading provider of software and IT services to the public, private and not for profit sectors which enable organisations to improve efficiency, reduce costs and drive growth.

Goldman Sachs is acting as financial adviser to Air Bidco and the Vista Funds in relation to the offer.

Ashurst advises CT Corpora on financing for Indonusa Telemedia

Ashurst recently advised an affiliate of PT CT Corpora on a financing for PT Indonusa Telemedia ("TransVision"), an Indonesian satellite, internet and cable television company.  

The Ashurst team was led by Singapore-based finance partner Dominic Gregory.

CT Corpora is a rapidly growing, diversified Indonesian-based holding company that is active in, among other things, financial services, media, lifestyle and entertainment, and natural resources.

PKC Group Plc: EUR 90 Million Revolving Credit Facility Agreement

Castren & Snellman acted as counsel to Nordea Bank Finland Plc, Pohjola Bank plc and Merchant Banking, Skandinaviska Enskilda Banken AB (publ) in a finance arrangement where PKC Group Plc signed a 5-year revolving credit facility agreement for EUR 90 million with our clients.

On 14 October 2014, Geberit announced an all-cash SEK 9.7 billion public offer for Sanitec, a company listed on Nasdaq Stockholm. JP Morgan is acting as financial advisor to Geberit in connection with the transaction and providing debt financing for the offer.

Geberit is the European leader in the sanitary technology sector with a broad and comprehensive product portfolio. Sanitec is a leading manufacturer and supplier of bathroom ceramics products and ceramics complementary products, with particularly attractive product offering in the medium-to high-end markets.

Norton Rose Fulbright advises banks and SACE on financing to Italian automotive supplier

Norton Rose Fulbright has advised UniCredit, Intesa Sanpaolo and SACE on a long term financing guaranteed in part by SACE to E.M.A.R.C. S.p.A., a company headquartered at Vinovo, near Turin, which produces steel roll formed structure parts and aluminium and steel stretch-bent components and assemblies for the automotive and commercial vehicle industries. The company has production facilities in various countries in Europe, Asia and South America.  The financing will be used to support the company’s strategic growth plan in Italy and around the world.

NCTM have assisted Waste Italy S.p.A. in a high-yield bond offer for a total value of EUR200 million and on a EUR15 million revolving credit facility

NCTM and Paul Hastings LLP have advised Waste Italia S.p.A., a subsidiary of Kinexia S.p.A., a company active in the renewable energy area, on a high yield bond
issue for a total value of EUR 200 million and on a EUR15 million revolving credit facility.

The notes, which will have a five year term, will be used to reorganize the group's activities and will be listed on the Irish Stock Exchange Waste Italia has been

Debevoise advises Temporis Capital LLP on £200 million lending programme for community scale renewables

The UK Green Investment Bank (GIB), leading global investment firm KKR, and specialist investment manager Temporis Capital LLP have today announced a new £200m lending programme for community-scale renewable energy projects in the UK. The London office of Debevoise & Plimpton LLP advised Temporis on the programme.

This is the first time that GIB has supported the community-scale renewables sector and the first investment of KKR in the UK renewable energy sector.
