Gide on the issuance of EUR 500 million bonds by Groupe SEB

Gide advised BNP Paribas, Crédit Agricole CIB, Natixis and Société Générale as Joint Lead Managers, on the issuance by SEB of its 500 million 1.50 per cent. notes due May 2024 admitted to trading on Euronext Paris.

Gide’s team was led by Hubert du Vignaux (partner) assisted by Laurent Vincent (counsel), Aude-Laurène Dourdain and Juliette Pierre (associates).

Homburger advised UBS in its Issuer Substitution of TLAC bonds

On May 22 and May 24, 2017, UBS conducted an issuer substitution under approximately USD 17.3 bn bail-inable (TLAC) notes (the "Notes") issued by UBS Group Funding (Jersey) Limited (the "Old Issuer") and guaranteed by UBS Group AG, where the Old Issuer was substituted with UBS Group Funding (Switzerland) AG (the "New Issuer"), a fully owned subsidiary of UBS Group AG.

Allen & Overy advises the Sri Lankan sovereign on another successful benchmark bond offering

Allen & Overy acted as counsel to Sri Lanka on its US$1.5 billion 6.20% 10-year sovereign bond issuance. The offering was sold pursuant to Rule 144A in the United States and pursuant to Regulation S outside of the United States. The A&O team had also acted on the previous US$1.5 billion dual tranche 5.5-year and 10-year bond transaction by Sri Lanka in May 2016.

On May 18, 2017, UBS Group Funding (Switzerland) AG (the"Issuer") completed its issuance of CHF 400 m bail-inable (TLAC) notes under its Senior Debt Programme. The CHF 400 m 0.625% Senior Notes due May 18, 2024, will be listed on the SIX Swiss Exchange Ltd. (the "Notes").

Homburger advised Credit Suisse AG in Verizon Communications Inc.'s issuance of CHF 1 bn FATCA-compliant Bonds

Credit Suisse AG acted as joint-lead manager together with UBS AG. The bonds will be listed on the SIX Swiss Exchange.

Homburger acted as counsel to Credit Suisse AG. The Homburger team consisted of partners René Bösch (Financial Services), Stefan Oesterhelt (Tax) and counsel Eduard De Zordi (Financial Services).

ENERVIE refinancing with EUR 190 million syndicated loan and Heuking Kühn Lüer Wojtek

ENERVIE group has been able to conclude its financial restructuring substantially earlier than expected. The new EUR 190 million syndicated loan agreement, consisting of a consortium of eight banks, was disbursed a few days ago. It replaces the reorganization master agreement that had been concluded with ENERVIE group’s financial creditors at the beginning of the reorganization in 2015. The energy company was advised on the refinancing transaction by a team led by Dr. Guido Hoffmann, partner at the Düsseldorf office of Heuking Kühn Lüer Wojtek.

The Base Prospectus has been approved by the Central Bank of Ireland.
