Heuking Kühn Lüer Wojtek advised NAGA AG on financing by investment group FOSUN

Heuking Kühn Lüer Wojtek advised THE NAGA GROUP AG (NAGA) on the financing by Chinese investment group FOSUN International (FOSUN). The advice included also the issue of a convertible bond. FOSUN invests a total of EUR 12.5 million in the German company. The financing is thus one of the largest series A funding projects in Europe for a FinTech company in 2017 to date.
 

Hogan Lovells advises Norddeutsche Landesbank Girozentrale on the inaugural issue of promissory notes to International Investment Bank

Led by their Frankfurt-based partners Michael Schlitt and Patrick Mittmann, and counsel Susanne Lenz, Hogan Lovells advised NORD/LB on the inaugural issue of promissory notes to International Investment Bank, a multilateral development bank registered with the United Nations.

The promissory notes were issued by NORD/LB on 6 April 2017, were divided into three tranches with terms of three, seven and ten years, respectively, and with a fixed rate of interest.

DLA Piper advises China Huarong Macau (HK) Investment Holdings Limited on HK$390 million investment

DLA Piper has advised China Huarong Macau (HK) Investment Holdings Limited (Huarong Macau) on its HK$390 million investment in Hong Kong listed company Carnival Group International Holdings Limited (Stock Code 996) (Carnival) in the form of convertible bonds. The secured convertible bonds are due in 2020.

Carnival operates as a developer of integrated tourism, hospitality, and retail projects in China and Hong Kong.

Vinge has advised Pareto Securities AB and Nordea Bank AB (publ) in connection with a bond issue of up to 150 MEUR

Vinge has advised Pareto Securities AB and Nordea Bank AB (publ) in connection with a bond issue of up to 150 MEUR, issued by Cembrit Group A/S on 20 March 2017. Pareto Securities AB and Nordea Bank AB (publ) acted as joint bookrunners. The bonds have a tenor of four years and a floating interest rate of three-months Euribor plus a floating rate margin of 5.50 per cent.

The proceeds from the bond issue will be issued to refinance existing debt and for general corporate purposes. Cembrit Group A/S will apply for the bonds to be listed on Nasdaq Stockholm.

Vinge has advised Nordea Bank AB (publ) in connection with a bond issue of up to 1500 MSEK

Vinge has advised Nordea Bank AB (publ) in connection with a bond issue of up to 1500 MSEK, issued by SBB i Norden AB (publ) on 6 April 2017. Nordea Bank AB (publ) acted as issuing agent. The bonds have a tenor of three years and a floating interest rate of three-months Stibor plus 6 per cent.

The proceeds from the bond issue will be issued for general corporate purposes, which include financing of property acquisitions. SBB i Norden AB (publ) will apply for the bonds to be listed on Nasdaq Stockholm.

White & Case Advises HP Pelzer on €350 Million Senior Secured Notes

Global law firm White & Case LLP has advised HP Pelzer Holding GmbH – Adler Pelzer Group on the issuance of €350 million 4.125 percent Senior Secured Notes due 2024, which were issued pursuant to Rule 144A and Regulation S under the Securities Act.

Proceeds from the issuance will be used to redeem HP Pelzer's existing €280 million 7.5 percent Senior Secured Notes due 2021 issued in 2014 and 2015, on which White & Case also advised.

KWM advises on Sydney Airport’s A$1.4bn bank debt refinancing

King & Wood Mallesons (KWM) has advised Sydney Airport on its landmark A$1.4bn bank debt refinancing, one of the largest syndicated club financings closed so far this year.

The new facilities comprise secured syndicated bank debt facilities ranging from a three to five year maturity. 

The KWM team was led by Partner Yuen-Yee Cho, with support from Senior Associate Will Stawell, Solicitor Zoe Anderson and Law Graduate Jonathan Mo.
