White & Case Advises VINCI on US$450 Million Synthetic Convertible Bonds Offering

Global law firm White & Case LLP has advised VINCI, a global concessions and construction company, on its US$450 million offering of non-dilutive convertible bonds due 2022, redeemable in cash only.

The bonds will bear interest at an annual nominal rate of 0.375 percent payable semi-annually. They were admitted to trading on the Open Market (Marché Libre) of Euronext Paris and on the Open Market of the Frankfurt stock exchange (Freiverkehr). The net proceeds of the issuance will be used for VINCI's general corporate purposes.

Clifford Chance advises Deutsche Bank, ING, Natixis and UniCredit on US$2.3 billion debt restructuring for Metinvest

Clifford Chance has advised Deutsche Bank, ING, Natixis and UniCredit in their capacity as the coordinating committee for the pre-export finance banks in connection with the successful implementation of a US$2.3 billion debt restructuring for Metinvest. Metinvest is a vertically integrated group of Ukrainian steel and mining companies and one of the largest producers of iron ore raw materials and steel in the CIS.

Clifford Chance advises ABN AMRO on highly successful offering of CRDIV compliant Tier 2 capital instruments on Asian and European markets

Clifford Chance acted as issuer counsel for ABN AMRO Bank N.V. ("ABN AMRO") on its USD 1,5 billion RegS Tier 2 subordinated transaction which priced 20 March and settled on 27 March 2017.

Benefiting from both Asian and European demand, ABN AMRO was able to print USD1.5bn – beyond its initial target size. The transaction represents the first RegS only bank Tier 2 transaction since 2014 and highlights the continued support ABN AMRO receives from both Asian and European investors.

Stonegate Completes £595 Million Senior Secured Notes Offering

Simpson Thacher represented Stonegate Pub Company Financing plc, a wholly owned subsidiary of Stonegate Pub Company Limited (“Stonegate”), a TDR portfolio company, in connection with a Rule 144A and Regulation S offering of £405 million in aggregate principal amount of its 4.875% Senior Secured Notes due 2022 and £190 million in aggregate principal amount of its Floating Rate Senior Secured Notes due 2022. The transaction closed on March 16, 2017.

Walder Wyss has acted as Swiss counsel to First Quantum Minerals Ltd. (TSX: FM), a Vancouver, British Columbia based mining and metals company, in relation to the issuance on 22 March 2017 of Senior Notes due 2023 and 2025 for a total amount of USD 2,200,000,000 (guaranteed by certain of the company’s subsidiaries, including in Switzerland).

The team was led by Tervel Stoyanov (Associate, Banking & Finance) and Thomas Müller (Partner, Banking & Finance) and further included Maurus Winzap (Partner, Tax).

The programme was registered with the French Autorité des marchés financiers on 22 March 2017.

The DVMB team was led by Laurent Gautier with the assistance of Romain Querenet de Breville in capital markets. Loïc Védie advised on tax aspects.

Sidley Advises First Quantum Minerals on Its Issuance of US$2.2 Billion of Senior Notes and Related Tender Offers

Sidley advised First Quantum Minerals Ltd. on its issuance of US$1.1 billion Senior Notes Due 2023 and US$1.1 billion Senior Notes Due 2025. The proceeds of which were used to fund its tender offers in respect of US$1.47 billion of existing notes, for redemptions of various series of existing notes and to repay certain term loan and revolving credit debt.
