DLA Piper advises the Australian Renewable Energy Agency on large-scale solar program

DLA Piper has advised the Australian Renewable Energy Agency (ARENA) on three projects that have reached financial close under ARENA's multi-million dollar large-scale solar photovoltaics (PV) competitive funding round.

ARENA has committed AU$92 million in funding for 12 new large-scale solar PV plants across Australia, consisting of 480 MW in total.

The 12 projects – six in Queensland, five in New South Wales and one in Western Australia – are unlocking almost AU$1 billion of commercial investment and boosting regional economies.

Clifford Chance advised KrisEnergy Ltd. on a number of capital restructuring transactions including a consent solicitation for the mandatory exchange of its S$130 million and S$200 million senior unsecured notes for new S$130 million and S$200 million senior unsecured accrued interest notes, listed on the Singapore Stock Exchange, and a S$139.5 million preferential offering of senior secured notes and equity warrants, listed on the Singapore Stock Exchange.

Gide advises the Joint Lead Managers on the EUR 500 million issue of notes by Bolloré

Gide advised the Joint Lead Managers Crédit Agricole Corporate and Investment Bank, HSBC Bank plc, ING Bank N.V. Belgian Branch, Natixis and Société Générale on the issuance by Bolloré of its € 500 million 2.00 per cent. notes due 2022, and admitted to trading on the regulated market of NYSE Euronext in Paris.

Gide's team was led by partner Hubert du Vignaux assisted by Bastien Raisse and Mariléna Gryparis.

Bolloré was assisted by Shearman & Sterling LLP.

Shearman & Sterling Advises Bolloré on Its Successful New Bond Issue

Shearman & Sterling advised Bolloré on the completion on a five-year €500 million euro bond issue, with an annual coupon of 2.00%. This issue was a private placement in France and outside France except the United States. The bonds are listed on Euronext Paris.

The order book of more than €2 billion confirmed investor confidence in Bolloré's financial condition, and the issuance was finalized with a lower interest rate than the price range initially indicated.

Hogan Lovells Represents BNP Paribas Securities Corp. as placement agent in US$150 Million DPR-backed Securities Issuance

NEW YORK, 27 January 2017 – Hogan Lovells has advised BNP Paribas Securities Corp. as the placement agent and a group of accredited investors based in the United States in establishing a new diversified payment rights securitization program (DPR) originated by Banco Davivienda (Costa Rica), S.A. DPR-CR Limited, a special purpose vehicle organized in the Cayman Islands, issued US$150 million of series 2017-1 and series 2017-2 notes.

The transaction closed on January 18, 2017.

White & Case Advises Investment Corporation of Dubai on US$1 Billion Issuance of Trust Certificates by ICD Sukuk Company

White & Case LLP has advised Investment Corporation of Dubai on the US$1 billion issuance of trust certificates by ICD Sukuk Company Limited under its US$2.5 billion trust certificate issuance programme.

The trust certificates, which were issued in a single tranche maturing in 2027, were offered pursuant to Regulation S and are listed on the Nasdaq Dubai and on the Irish Stock Exchange, and have a profit rate of five percent per annum.

White & Case LLP has advised Banca IMI, Barclays, BofA Merrill Lynch, Citi, JP Morgan and UniCredit, as joint bookrunners, on the issuance by Snam under its Euro Medium Term Note Programme of €500 million fixed rate Notes due 2025.

The White & Case team which advised on the transaction was led by partners Michael Immordino (London & Milan) and Ferigo Foscari, local partner Paul Alexander and associates Louise Ruggiero and Davide Diverio (all Milan).

White & Case Advises AXA on US$1 Billion Fixed to Floating Subordinated Notes Issue

White & Case LLP has advised AXA on its issuance of dated fixed to floating subordinated notes due 2047 for a total amount of US$1 billion.

The notes bear an initial interest at a fixed rate of 5.125 percent per annum, payable semi-annually until the first call date in January 2027 and at a floating rate thereafter, with a margin including a 100 basis points step-up.

Oesterreichische Kontrollbank $1.5 Billion Notes Offering

Davis Polk advised the joint lead managers on an SEC-registered offering on Schedule B by Oesterreichische Kontrollbank Aktiengesellschaft (OeKB) of $1.5 billion 1.750% notes due 2020. The notes are guaranteed by the Republic of Austria.

OeKB is primarily engaged in export financing. It administrates the Republic’s guarantees covering commercial, political and foreign exchange risks in connection with Austrian exports and also provides medium- and long-term financing to banks and foreign importers for Austrian export transactions.
