Slaughter and May advised Euroclear – issue of bonds

Slaughter and May advised Euroclear on the issuance by Euroclear Investments SA, a Luxembourg incorporated entity, of €600,000,000 1.125 per cent. notes due 2026. The notes were admitted to trading on Euronext Amsterdam on 7 December 2016.

The Euroclear group is one of the world’s largest providers of settlement, safekeeping and servicing for cross-border transactions in domestic and international bonds, equities, derivatives and investment funds.

Gide advised a syndicate of banks constituted by Société Générale, Citigroup Global Markets Limited, Crédit Industriel et Commercial, Mizuho International plc and The Royal Bank of Scotland plc on the issuance by Vivendi of 600 million 1.125 per cent. notes due November 2023 and listed on Euronext Paris.

(‘Changsha Pilot Investment Holdings’) on its issuance of US$350m notes due in 2019, with an interest rate of 3.10 per cent. The bonds are expected to be assigned a rating of BBB- by S&P and by Fitch and will be listed on the Hong Kong Stock Exchange on 5 December 2016.

Dentons Spain has advised the financial institutions in the refinancing of a Globalvia-controlled motorway concession known as AP-53, a 56.6 Km long motorway which links Alto de Santo Domingo (Orense) and Santiago de Compostela, in the northwest region of Spain called Galicia. The operation was closed in Madrid last Friday, November 25th.

Slaughter and May advised CEMEX –discharge of U.S.$664 million of existing commitments for exchange into two new tranches

Slaughter and May advised CEMEX on its consent request and the exchange and discharge offer made to certain lenders under the facilities agreement dated 29 September 2014 (the Facilities Agreement). Following a prepayment of U.S.$373 million corresponding to the September 2017 amortisation under two existing term loan tranches of the Facilities Agreement, currently funded commitments maturing in 2018 in the amount of U.S.$664 million in those term loan tranches have been discharged and exchanged into a new revolving tranche, maintaining the original amortisation schedule.

Orrick Advises FRONTEO in JPY2.5 Billion Funding

Orrick has advised Japan-based FRONTEO, a publicly traded global technology company, in its JPY2.5 billion ($22 million) offshore issuance of bonds with stock acquisition rights. The convertible bonds were issued to Whiz Healthcare Japan 2.0 Investment LP, which specializes in investments in biotechnology and healthcare related companies. Whiz Healthcare is managed by Whiz Partners Inc., a prominent independent private equity firm in Japan.
