White & Case LLP has advised EQUATE Petrochemical K.S.C.C. (EQUATE) and the Kuwait Olefins Company K.S.C.C. (TKOC) on the establishment of their inaugural US$4 billion Global Medium Term Note Programme and the issuance thereunder by EQUATE Petrochemical B.V. of US$2.25 billion of notes in aggregate which are guaranteed by EQUATE and TKOC.

Shearman & Sterling Advises J.P. Morgan, Citigroup and Eurobank on WIND Hellas' High Yield Bond Offering

Shearman & Sterling advised J.P. Morgan, Citigroup and Eurobank on WIND Hellas’ high yield bond offering, the first such offering after the company’s debt restructurings in 2009 and 2010. The offering comprised €250 million, 10% senior secured notes due 2021 issued by WIND Hellas’s direct parent, Crystal Almond S.à r.l. The proceeds of the offering will be used to refinance existing indebtedness of the WIND Hellas group, to pay fees and expenses related to the offering and for general corporate purposes, including capital expenditure investments.

Slaughter and May advised FIL Limited on the issuance of €400,000,000 2.50 per cent. bonds maturing in 2026.

The bonds have been listed on the Official List of the Luxembourg Stock Exchange and admitted to trading on the Euro MTF market. 

Conyers Dill & Pearman Limited advised FIL Limited as to Bermudan law.

SNAI S.p.A.'s High-Yield Senior Secured Debt Offering

Cravath represented the initial purchasers, Deutsche Bank, UniCredit Bank, Goldman Sachs International and BNP Paribas, in connection with the EU570 million 144A/Reg. S high-yield senior secured fixed and floating rate debt offering of SNAI S.p.A., a leader in the Italian gaming and betting market. The notes are listed on the Luxembourg Stock Exchange. The transaction closed on November 7, 2016.

Osborne Clarke has advised Investec Bank plc in its capacity as sponsor and financial adviser to Regus plc in connection to its proposed establishment of a new holding company and headquarters move to Switzerland.

The transaction involves a scheme of arrangement of Regus, the leading global workplace provider, to interpose a new holding company, IWG plc, which will be listed on the premium listing segment of the Official List. The market capitalisation of IWG plc is likely to be c.£2.2 billion.
