Homburger advised McDonald's Corporation in the issuance of CHF 400 m FATCA-compliant Bonds

Credit Suisse AG acted as joint-lead manager together with BNP Paribas (Suisse) SA and Commerzbank Aktiengesellschaft. The bonds have been listed on the SIX Swiss Exchange. Homburger acted as counsel to McDonald's Corporation.

The Homburger team consisted of René Bösch (Partner, Financial Services), Stefan Oesterhelt (Partner, Tax), Eduard De Zordi (Counsel, Financial Services) and Bettina Oertle (Paralegal, Financial Services).

Alliance Automotive Finance Completes €180 Million Senior Secured Notes Offering

Simpson Thacher represented certain Blackstone investment funds and Alliance Automotive Finance plc, an affiliate of Alliance Automotive Group S.A.S. (“AAG”), in connection with a Rule 144A and Regulation S offering of €180 million in aggregate principal amount of its Senior Secured Notes due 2021. The transaction closed on October 19, 2016.

Norton Rose Fulbright has advised Tenaga Nasional Berhad (“TNB”), Malaysia’s largest electricity utility company, on its ten-year US$750 million sukuk issuance, which closed on October 19, 2016. The sukuk was issued via TNB’s wholly-owned Malaysian-incorporated special purpose company, TNB Global Ventures Capital Berhad, and marks the first issuance under the newly established US$2.5 billion Multicurrency Sukuk Issuance Programme on which Norton Rose Fulbright also advised.

Slaughter and May advised Close Brothers Limited on the issue of £250 million 2.750% senior unsecured bonds due 2026 from the Close Brothers Finance plc £1 billion Euro Medium Term Note programme. The bonds are listed and traded on the Regulated Market of the London Stock Exchange and guaranteed by Close Brothers Limited.

Lloyds Bank plc, Société Générale and UBS Limited acted as Joint Bookrunners.

Hogan Lovells advises on a trio of sovereign sukuk in West Africa

DUBAI, 20 October 2016 – Hogan Lovells has advised the Islamic Corporation for the Development of the Private Sector (ICD) as Lead Arranger on the issuance of three sovereign sukuk in West Africa.

These include sophomore issuances for the Government of Cote d'Ivoire and the Government of Senegal, and a debut issuance for the Republic of Togo. 

Freshfields advises TusPark Forward on issuance of US$500 million of senior guaranteed bonds

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) is acting for TusPark Forward Ltd. (‘Tuspark’), a wholly-owned subsidiary of Tus-Holdings Co., Ltd. (‘Tus-Holdings’), in relation to its issuance of US$500 million of senior guaranteed bonds for 4.3 per cent yield. The bonds, which mature in 2019, have been guaranteed by Tus-Holdings and underwritten by six banks, with BNP Paribas acting as the lead. The bonds are being listed on the Hong Kong Stock Exchange.

Bredow, Heuking Kühn Lüer Wojtek advised the principal shareholder of a leading manufacturer of cardan shafts on the replacing of group financing with a total volume of some EUR 26 million. Existing group financing by a bank consortium led by SÜDWESTBANK AG (BW Bank, KfW, IKB Deutsche Industriebank AG, Commerzbank AG, UniCredit AG) was replaced in full by Swiss Patrimonium Asset Management AG.
 

Allen & Overy advises on landmark transaction to open up the international markets for Indian regulatory capital issuances

Allen & Overy has advised India’s largest bank, State Bank of India (SBI), on its sale of USD denominated Additional Tier 1 bonds, the first transaction of its kind.
In light of new capital requirements, these Basel III compliant bonds provide India’s banks, particularly its public sector banks, with a non-dilutive method of shoring up regulatory capital. The execution of this transaction was highly complex, requiring structural expertise and deep institutional and regulatory knowledge.
