We advised Bank of America in a USD 150 Million secured finance transaction with a US based multinational chemical corporation. The complex Dutch partnership structure of the borrower created some interesting challenges with respect to the security package to which we found appropriate solutions. We worked together with US co-counsel Shearman & Sterling in this matter.

Gernandt & Danielsson advises in ALM Equity’s issue of subsequent bonds

Gernandt & Danielsson advises in ALM Equity’s issue of subsequent bonds in the amount of SEK 275 million. The bonds are issued under the company’s outstanding bond loan with ISIN SE0008014690 and with a total frame of SEK 1 billion. The total outstanding amount after the issue of subsequent bonds will be SEK 600 million.

ALM Equity is a real estate development company. The company acquires, structures, develops and divests projects, in particular residential apartments.

Shearman & Sterling Advises on Greenko’s $500 Million First-of-Its-Kind India High Yield Green Bond Offering

Shearman & Sterling advised Greenko Energy Holdings and Greenko Investment Company in connection with the offering of US$500 million 4.875% senior notes due 2023 by Greenko Investment Company, unconditionally guaranteed by Greenko Energy Holdings on a senior basis.

The offering marked India’s first high yield green bond issuance and addressed the financing needs of Greenko Energy Holdings’ Indian operating subsidiaries. The notes are listed on the Singapore Exchange Securities Trading Limited.

Allen & Overy helps ONGC access international debt capital markets again

Allen & Overy advised Citigroup and Standard Chartered Bank as Joint Global Coordinators, and with DBS Bank Ltd., Mizuho Securities, MUFG and SMBC Nikko, as Joint Lead Managers, in connection with ONGC Videsh Vankorneft Pte. Ltd. (OVVL)’s USD1 billion notes issuance. OVVL is the wholly-owned subsidiary of  ONGC Videsh Limited (“ONGC Videsh”), the overseas arm of Oil and Natural Gas Corporation Limited (ONGC).  ONGC is India’s largest and flagship oil and gas exploration and production company, which is majority-owned by the Indian government.

Shearman & Sterling Advises on Lippo Karawaci’s High Yield Bond Offering

Shearman & Sterling advised Citigroup, Deutsche Bank, UBS, Bank of America Merrill Lynch, and Credit Suisse as underwriters on the issuance of US$260 million 7% senior notes due 2022 by Indonesia-listed PT Lippo Karawaci Tbk (Lippo Karawaci). The notes were issued under Regulation S and are traded on the Singapore Exchange Securities Trading Limited.

Allen & Overy advises India EXIM on inaugural Rule 144A bond issue

Allen & Overy has advised Export-Import Bank of India (EXIM) on its inaugural USD1 billion Rule 144A/Reg S bond issue.
EXIM is wholly owned by the Indian government and is India’s premier export finance institution.  The bond deal attracted strong interest from US investors, which have previously had little access to Indian sovereign credit.
 
The issuance, which closed on 5 August, was completed under EXIM’s USD10 billion Global Medium Term Note Program, which Allen & Overy recently helped to establish.
 

Allen & Overy assists NTPC on first Green Masala Bonds

NTPC Limited, India’s largest power utility company, has now completed its landmark Indian Rupee denominated 20 billion Green Masala bond issue where Allen & Overy advised the lead managers.

The bond is the first of its kind and is dual listed on the London and Singapore Stock Exchanges. Issuance was Indian Rupee denominated but settled in U.S. dollars, to provide investors with exposure to the local currency.
 

Norton Rose Fulbright advises on USD 1.7 billion financing for Emirates NBD

Global law firm Norton Rose Fulbright has advised Bank of America Merrill Lynch as Documentation Agent and Joint Coordinator and Emirates NBD Capital as Joint Coordinator, on a USD1.7 billion term loan facility for the Dubai based bank Emirates NBD PJSC.

The loan received strong support from the market with 19 banks participating in a deal that was substantially over-subscribed in what is likely to be one of the largest club facilities in the financial institutions sector in the Gulf region this year.

Dentons advises Tatra banka on the largest real estate loan on the Slovak market in 2016

Dentons' Bratislava office advised Tatra banka, a member of the Raiffeisen Group, on the syndicated loan of €250 million to refinance the Eurovea multifunctional complex in Bratislava.

The syndicated loan was arranged by Tatra banka. The other banks involved include Komercni banka (a member of the Société Générale Group) and Všeobecná úverová banka (a member of the Intesa Sanpaolo Group).

Hogan Lovells acts for TS Energy on its €40 million bond private placement

A team of Hogan Lovells debt capital markets lawyers has advised TS Energy Italy (TS Energy) on its EUR 40 million bond issue (the Issue).

TS Energy is the Italian subsidiary of Zhongli Talesun Solar Groupe, an investment group specializing in the renewable energy sector. It is an entity that controls nine Special Purpose Vehicles (SPVs) each holding one solar plant.
