Davis Polk Advises Wanhua Chemical Group on Tender Offer

Davis Polk advised Wanhua Chemical Group Co., Ltd. and Wanhua Chemical International Holding Co., Ltd. (“Wanhua Chemical International”) in connection with a cash tender offer, to repurchase any and all of the 4.5% guaranteed bonds due 2017 issued by Wanhua Chemical International on November 19, 2014. The bonds are listed on the Hong Kong Stock Exchange (Bond Stock Code: 85703) and are cleared through the Hong Kong Central Moneymarkets Unit.

(Bosera Capital) on the successful issuance of the asset-backed securities (ABS) project of the Bosera Capital-Zengcheng Country Garden House-Purchasing Receivables Asset-backed Specific Plan on the Shanghai Stock Exchange, with a principal amount of RMB1.584 billion.

Shearman & Sterling represented the underwriters, led by RBS Securities, in connection with The Royal Bank of Scotland's $1.5 billion senior notes offering. The bond pays an interest rate of 4.800% due in 2026. The joint bookrunners included Morgan Stanley, Bank of America Merrill Lynch and Credit Suisse.

The Royal Bank of Scotland is headquartered in Edinburgh, has a diversified customer base and provides a wide range of products and services to personal, commercial and large corporate and institutional customers.

Reed Smith has advised CBPE Capital and Xafinity on an £89 million refinancing and dividend recap.

The all-senior debt package was provided by HSBC, Lloyds, Bank of Ireland and Babson Capital.
