PPG Industries, Inc. €1.2 Billion Notes Offering

Davis Polk advised underwriters represented by BNP Paribas, HSBC Bank plc and Mitsubishi UFJ Securities International plc on a public offering by PPG Industries, Inc. (PPG) of €600 million aggregate principal amount of 0.875% notes due 2022 and €600 million aggregate principal amount of 1.400% notes due 2027.   

PPG is a leading coatings and specialty products company. Founded in 1883, PPG serves customers in industrial, transportation, consumer products, and construction markets and aftermarkets.  

Mondelez International, Inc. announced the issuance of CHF 675,000,000 FATCA-compliant Bonds

Mondelez International, Inc. announced the issuance of CHF 675,000,000 FATCA-compliant Bonds. Credit Suisse AG acted as joint-lead manager together with UBS AG. The bonds will be listed on the SIX Swiss Exchange.

Homburger acted as counsel to Credit Suisse AG. The Homburger team consisted of René Bösch (Partner, Financial Services), Eduard De Zordi (Counsel, Financial Services) and Bettina Oertle (Paralegal, Financial Services).

Ashurst advises Crown on A$400m subordinated notes II offer

Ashurst has advised Crown Limited on a A$400 million subordinated notes offer to assist with the financing of Crown Sydney, Crown Towers Perth and other anticipated growth projects.

A prospectus for the offer was lodged with the Australian Securities and Investments Commission on 17 March 2015.

The offer forms part of Crown's ongoing capital management strategy and the proceeds will be used for general corporate purposes.

Dentons advise The Islamic Development Bank on US$10 billion programme update and US$1 billion issuance

Dentons advised The Islamic Development Bank (the IsDB) on the update of the IsDB Trust Services Limited US$10 billion Trust Certificate Issuance Programme (the Programme) completed on 24 February 2015. Dentons also advised the IsDB on the issue of US$1 billion Trust Certificates due 2020 under the Programme, completed on 12 March 2015. The Programme was listed on the London Stock Exchange and NASDAQ Dubai.

Shearman & Sterling represented Jaguar Land Rover Automotive plc (“Jaguar Land Rover”) on its offering of $500 million fixed rate high yield bonds due 2020. Jaguar Land Rover Automotive plc, an indirectly-owned subsidiary of Indian-owned Tata Motors Limited (India), bought luxury carmakers Jaguar Land Rover Limited and Land Rover in 2008.

Davis Polk advised eDreams ODIGEO S.A. and its subsidiaries, Geo Debt Finance S.C.A. and Geo Travel Finance S.C.A., in connection with a successful solicitation of consents from holders of Geo Debt Finance’s 7.50% senior secured notes due 2018 and Geo Travel Finance’s 10.375% senior notes due 2019 to permit eDreams ODIGEO and its subsidiaries to undertake certain transactions to improve the tax efficiency of the group’s intra-group financing arrangements. Credit Suisse Securities (Europe) Limited acted as solicitation agent on the consent solicitation.

Onex Corporation acquires SIG Group

Herbert Smith Freehills advises Whitehaven Coal Limited on its A$1.4 billion refinancing

Herbert Smith Freehills has advised Whitehaven Coal Limited on its fully underwritten offer of new A$1.4 billion senior secured bank facilities to be provided by a syndicate of Australian and international banks.

The facilities, which mature in July 2019, provide Whitehaven with revolving, term and guarantee lines of credit for general corporate purposes and will replace its existing debt facilities with more favourable terms.

The Herbert Smith Freehills team was led by partner Joel Rennie, who was supported by lawyers Rupert Baker and Emma Zarb.

Clifford Chance advises on Thailand's first dim sum bond issuance

Clifford Chance has advised the lead managers, HSBC and ING, on the inaugural dim sum bond issued by TMB Bank Public Company Limited (TMB), one of the largest retail banks in Thailand. This represents two market firsts: the first RMB denominated bond issued by a Thai issuer and the first international bond issued by a Thai issuer so far this year.
