Clifford Chance advises on China Hongqiao Group's issuance of US$300 million high-yield bonds

Clifford Chance has advised the lead managers, Deutsche Bank, ANZ, BofA Merrill Lynch, BOC International and Morgan Stanley, on China Hongqiao Group Limited's issue of US$300 million 6.875% senior notes due 2018. This was the only Chinese high-yield bond priced in October. This transaction follows two other prominent high-yield deals on which Clifford Chance also recently advised: the Geely Automobile Holdings Limited US$300 million high-yield senior notes in September and Yingde Gases Group Company Limited US$250 million high-yield senior notes in August.

Sidley Participates in Simon Property Group’s First U.S. REIT Global Commercial Paper Program

Sidley represented Simon Property Group, L.P. in the establishment of its global unsecured commercial paper note program, the first U.S. REIT to do so. Under the terms of the program, the Simon Operating Partnership may issue unsecured commercial paper notes denominated in U.S. dollars, Euros and other currencies, up to a maximum aggregate amount outstanding of US$500 million, and will be used for general corporate purposes.

London Office Completes High Yield Acquisition Debt Financing

Paul, Weiss advised Arrow Global Group PLC, acting through its financing subsidiary, Arrow Global Finance plc, a purchaser and collector of debt portfolios with operations in the U.K. and Europe, on its offering of €225 million aggregate principal amount of senior secured floating rate notes due 2021. The proceeds from the offering will be used to acquire a complementary U.K.-based debt purchasing and collections business, Capquest, from its institutional owner, TowerBrook Capital Partners, L.P. The offering followed entry into commitment papers for a bridge financing.

Paul Hastings Advises Korean Air Subsidiary on US$300 Million Bond Offering

Paul Hastings has advised Hanjin International Corporation (“Hanjin”) on its issuance of the US$300 million floating rate notes (“notes”). The Reg S-registered notes were guaranteed by state-owned Export-Import Bank of Korea. BNP Paribas and HSBC were the joint bookrunners of the offering.

Hanjin is the U.S.-based subsidiary of Korean Air Lines Co., Ltd, the flagship airline of South Korea. The proceeds from the offering will be used for the construction of a 70-story office and hotel tower developed by Hanjin in downtown Los Angeles.

McDermott Advises Constellation Brands in $800 Million Notes Offering

McDermott Will & Emery LLP represented Constellation Brands, Inc., a leading beverage alcohol company, in its concurrent issuances on November 3, 2014 of $400 million aggregate principal amount of Senior Notes due 2019 and $400 million aggregate principal amount of Senior Notes due 2024 in a public offering under a shelf registration statement filed with the Securities and Exchange Commission.

DLA Piper advises PORR on €250 million issuance programme and bond conversion

DLA Piper has advised PORR AG ("PORR") on a €250 million issuance programme and bond conversion.

Dr. Christian Temmel, DLA Piper with extensive experience within capital markets, served as the transaction lawyer for PORR. He also acted for Erste Group Bank AG as sole arranger and dealer manager. The offer was based on a prospectus approved by the Austrian FMA and was accepted very positively. Approximately €70 million were exchanged into new issued bonds.

Dai-ichi Life Insurance Completes $1 Billion Offering of 5.10% Step-up Callable Perpetual Subordinated Notes

Simpson Thacher recently represented The Dai-ichi Life Insurance Company, Limited in connection with its offering of 5.10% Step-up Callable Perpetual Subordinated Notes. The bonds were sold to international investors outside of Japan in reliance on Rule 144A and Regulation S.

Established in 1902 as Japan’s first mutual life insurance company, Dai-ichi Life is the second-largest private sector life insurer in Japan, as measured by total assets and premium income, and had approximately 8 million policyholders as of March 31, 2014.

Herbert Smith Freehills advises on Tata Motors US$750 million bond offering in Singapore

Herbert Smith Freehills has advised the joint lead managers and joint bookrunners on Tata Motors Limited's US$750 million dual-tranche fixed rate bond offering. The deal represents the first bond offering by an Indian corporate to take advantage of the new 5% withholding tax on foreign currency bond issuances by Indian entities.
