Baker & McKenzie Advises European Investment Bank on EUR55 Million Loan to State Administration of Railway Transport of Ukraine

Baker & McKenzie acted as Ukrainian law counsel to the European Investment Bank (EIB) in connection with its EUR55 million loan to the State Administration of Railway Transport of Ukraine (Ukrzaliznytsia) and the related sovereign guarantee.

Simpson Thacher Represents Capsugel in Offering of $415 Million Senior PIK Toggle Notes and €355 Million Incremental Term Loan

The Firm recently represented Capsugel S.A., a société anonyme incorporated in Luxembourg, in its sale of additional $415 million of 7.00%/7.75% Senior PIK Toggle Notes due 2019, pursuant to Rule 144A and Regulation S.  The net proceeds of the offering were used to fund a distribution to holders of Capsugel S.A.’s capital stock and to pay transaction-related fees and expenses. The Firm also represented the Company in a consent solicitation to amend the indenture governing the Company’s existing notes to permit the distribution.

Shearman & Sterling Represents Initial Purchasers on €230 Million Notes Offering of HP Pelzer Holding GmbH

Shearman & Sterling represented J.P. Morgan Securities plc and UniCredit Bank AG as the Initial Purchasers in connection with the offering by HP Pelzer Holding GmbH (the “Issuer,” and together with its consolidated subsidiaries, the “HP Pelzer Group”) of €230,000,000 aggregate principal amount of 7.500% Senior Secured Notes due 2021 (the “Notes”). The net proceeds from the issue and sale of the Notes will primarily be used to refinance existing debt obligations of the Issuer and acquire new assets.

Mayer Brown, a leading global law firm, represented Barclays and the several underwriters in connection with the offering and issuance by Regency Energy Partners LP and Regency Energy Finance Corp. of $700 million aggregate principal amount of 5.00% senior notes due 2022. The high yield bonds were sold in a public offering registered with the US Securities and Exchange Commission.

Shearman & Sterling represented the underwriters, led by Citigroup Global Markets Inc., J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC, in connection with eBay Inc.’s registered public offering of $3.5 billion aggregate principal amount of investment grade Notes, comprised of $450 Million of Floating Rate Notes due 2017, $400 million of Floating Rate Notes due 2019, $1.15 billion of 2.200% Notes due 2019, $750 million of 2.875% Notes due 2021 and $750 million of 3.450% Notes due 2024.

White & Case Advises HP Pelzer on Inaugural €230 Million High Yield Bond Issue

Global law firm White & Case LLP has advised HP Pelzer Holding GmbH, a German manufacturing company in the automotive sector controlled by the Italian group Adler S.p.A., on its high yield offering of €230 million, 7.5 percent Senior Secured Notes due 2021.

This transaction involved lawyers in a number of White & Case offices, including Milan, Berlin, Brussels, Frankfurt, Hamburg, London, Madrid, Mexico City, Munich, New York, Prague and Warsaw.

Simpson Thacher represented the initial purchasers, led by global coordinators, Barclays Capital Inc. and BNP Paribas, in the sale of an aggregate principal amount of $300 million 7.875% Senior Secured Notes due 2021 by Kosmos Energy Ltd. (“Kosmos”). The notes are secured by a first ranking fixed equitable charge on all shares held by Kosmos in its direct subsidiary, Kosmos Energy Holdings. The notes are guaranteed on a subordinated, unsecured basis by Kosmos’ subsidiaries that guarantees its credit facilities.

DLA Piper advises Rolta India Ltd on second high yield bond offering

DLA Piper has advised long term client Rolta India Limited on a highly successful high-yield bond offering. The Company raised US$300 million in the international capital markets, issuing 8.875% Senior Notes (the "Notes") through its wholly owned subsidiary, Rolta Americas LLC. The offering was oversubscribed by more than eight times with an order book of over US$ 2.4 billion and demand from a high quality international investor base. Asia contributed 47% of the demand, the United States contributed 35% and European investors contributed 18%.
