Dentons advises EBRD on US$75 million loan to Ukraine’s PJSC Raiffeisen Bank Aval

Dentons acted as legal counsel to the European Bank for Reconstruction and Development on a US$75 million loan to Ukraine’s PJSC Raiffeisen Bank Aval.

The EBRD is the largest financial investor in Ukraine. As of 1 January 2014 the Bank had committed €8.7 billion (US$11.9 billion) through 321 projects in Ukraine.

The Dentons team was led by partners Zarko Iankov (London) and Natalya Selyakova (Kyiv) supported by associate Nikolay Zhovner (Kyiv).

Shearman & Sterling Represents Underwriters in Connection with HSBC Holdings plc's US$3.5 Billion Notes Offering

Shearman & Sterling represented the underwriters (led by HSBC Securities (USA) Inc.) in connection with HSBC Holdings plc’s offering of US$2 billion aggregate principal amount of 4.250% subordinated notes due 2024 and US$1.5 billion aggregate principal amount of 5.250% subordinated notes due 2044. The subordinated notes qualify as Tier 2 capital under Basel III and are subject to the exercise of "bail-in" powers by UK regulatory authorities.

Latham Advises Underwriters in Exxon Mobil’s $5.5 Billion Bond Offering

After a more than two decades hiatus from the US bond market, Exxon Mobil Corp. (XOM) has sold $5.5 billion of bonds in a five-part offering of fixed- and floating-rate notes. The company will use the proceeds to finance capital spending, for acquisitions and to refinance commercial paper borrowings.

Latham & Watkins LLP advised the underwriters in this transaction with a corporate deal team led by New York partner Marc Jaffe and Washington D.C. partner Rachel Sheridan, with associates Brandon Bortner and John Kim.

Abbey National Treasury Services - issue of US$2.5 billion Notes

Slaughter and May, working as a team with Cleary, Gottlieb Steen & Hamilton LLP, advised Abbey National Treasury Services plc in relation to the issue of US$2.5 billion Notes under its SEC Registered US Shelf Facility.
 
The issue, announced on 10 March 2014, is made up of US$1.1 billion 1.375% Fixed Rate Senior Notes due 2017, US$400 million Floating Rate Senior Notes due 2017 and US$1 billion 4.000% Fixed Rate Senior Notes due 2024.

Kirkland & Ellis Advises Kerneos Tech Group SAS in connection with €350 Million Notes Offering

Kirkland & Ellis International LLP represented Kerneos Tech Group SAS in connection with the offering of €200 million 5.75% senior secured fixed rate notes due 2021 and €150 million senior secured floating rate notes due 2021, which closed on 13 March 2014.

The proceeds from the notes offering will be used to finance the issuer’s acquisition of Materis Aluminates SAS and its subsidiaries, and repay the target’s existing indebtedness.

CF Industries, Inc. $1.5 Billion Senior Notes Offering

Davis Polk advised Morgan Stanley & Co. LLC and Goldman, Sachs & Co. as joint book-running managers on an SEC-registered offering of $750 million aggregate principal amount of 5.150% senior notes due 2034 and $750 million aggregate principal amount of 5.375% senior notes due 2044 of CF Industries, Inc. The notes are fully and unconditionally guaranteed by CF Industries Holdings, Inc., the parent company of CF Industries, Inc.  

Davis Polk Advises Texas Instruments on $500 Million Notes Offering

Davis Polk advised Texas Instruments Incorporated on its SEC-registered debt offering of $500 million aggregate principal amount of notes consisting of 0.875% notes due 2017 and 2.750% notes due 2021. The offering was made through an underwriting syndicate led by Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Mizuho Securities USA Inc.
