Shearman & Sterling Advises on The Dayton Power and Light Company’s $445 Million First Mortgage Bond Offering

Shearman & Sterling represented Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, as representatives of the several initial purchasers, in connection with a Rule 144A/Regulation S offering by the Dayton Power and Light Company of $445 million of its First Mortgage Bonds 1.875% Series Due 2016.

The Dayton Power and Light Company is a regulated public utility and is engaged primarily in generating, transmitting, distributing and selling electric energy to approximately 513,000 retail customers in 24 counties in West Central Ohio.

Shearman & Sterling Advises on Topaz Marine S.A.’s $350 Million Inaugural High Yield Notes Offering

Shearman & Sterling represented Topaz Marine S.A., a wholly owned subsidiary of Topaz Energy and Marine Limited, on its inaugural high yield notes offering of US$350 million 8.625% Senior Notes due 2018. The net proceeds from the issue and sale of the notes will be primarily used to repay certain facilities, to fund capital expenditure and to increase cash on balance sheet. The notes are guaranteed on a senior unsecured basis by Nico Middle East Limited, a wholly owned subsidiary of Topaz and the parent of the Issuer, and certain of its subsidiaries.

Ashurst advises CT Corp of Indonesia on US$1.275bn financings

Ashurst has advised affiliates of PT CT Corpora ("CT Corp") on three simultaneous financings totalling USD 1.275 billion.

The Ashurst team was led by Hong Kong finance partner Dominic Gregory, assisted by associate Bhavesh Madia.

The lender groups comprised 13 lead arranging banks.
 
CT Corp is a rapidly growing, diversified Indonesian-based corporate group which is active in financial services, media, lifestyle and entertainment, and natural resources.
 

Series 2013-1 US$1 billion issuance backed by trade finance assets originated by Citi and Santander

Clifford Chance advises HSBC France on its bond issue

Clifford Chance, Paris has advised the issuer HSBC France on the issue of Euro 1,000,000,000 bonds bearing interest at a rate of 1.625% with a maturity of five years (2018). This bond issue constitutes the second issue of this amount this year for the issuer and reflects the current strong market opportunities.

The Clifford Chance Paris team comprised Cedric Burford (partner, capital markets) and Ludovic Timbal Duclaux de Martin (senior associate, capital markets).

Herbert Smith Freehills advises Miclyn Express Offshore Limited on Bermuda amalgamation

Herbert Smith Freehills has advised Miclyn Express Offshore Limited (ASX: MIO) on its successful amalgamation with an entity jointly owned by funds and entities affiliated with Headland Private Equity and CHAMP Private Equity (the Buyers).

The amalgamation, which came into effect on 16 December 2013, makes MIO the second ASX-listed company to ever undertake a Bermuda amalgamation.
