Morgan Securities, Morgan Stanley and Wells Fargo Securities, in connection with the US$2 billion registered senior debt offering of The Mosaic Company, the world’s leading producer and marketer of concentrated phosphate and potash crop nutrients.

American Axle & Manufacturing, Inc.'s Registered High-Yield Senior Debt Offering

Cravath represented the underwriters, led by J.P. Morgan Securities, BofA Merrill Lynch, Barclays, Citigroup and RBC Capital Markets, in connection with the US$200 million registered high-yield senior debt offering of American Axle & Manufacturing, Inc., a tier-one supplier to the automotive industry.

Caixa d'Estalvis I Pensions de Barcelona "la Caixa" - issue of EUR750 million unsecured exchangeable bonds

Slaughter and May, working as a team with Uría Menéndez, advised Caixa d'Estalvis I Pensions de Barcelona "la Caixa" on its issue of EUR750 million 1% unsecured bonds due 2017 exchangeable at the option of the holders for ordinary shares of CaixaBank, S.A.

Goldman Sachs International, Morgan Stanley & Co. International plc and UBS Limited acted as Joint Bookrunners. Application will be made for the bonds to be admitted to listing and trading on a recognised national or international organised secondary market within the EU.

Premier Oil - establishment of EMTN Programme

Slaughter and May advised Premier Oil plc on the establishment of its £500,000,000 Euro Medium Term Note Programme for the issuance by Premier Oil plc of senior unsecured notes. Premier Oil plc may issue wholesale and retail notes under the Programme. Notes issued under the Programme will be guaranteed by certain subsidiaries of Premier Oil plc. The base prospectus in relation to the Programme was approved by the UK Listing Authority on 18 November 2013.

The Programme has been arranged by Lloyds Bank plc.

Flowserve Corporation's Registered Senior Debt Offering

Cravath represented the underwriters, led by BofA Merrill Lynch, J.P. Morgan Securities, Wells Fargo Securities and Credit Agricole CIB, in connection with the US$300 million registered senior debt offering of Flowserve Corporation, a world-leading manufacturer and aftermarket service provider of comprehensive flow control systems. The transaction closed on November 1, 2013.

U.S. Concrete, Inc.'s High-Yield Senior Secured Debt Offering

Cravath represented the initial purchasers, led by J.P. Morgan Securities, in connection with the US$200 million 144A/Reg. S high-yield senior secured debt offering of U.S. Concrete, Inc., a major producer of ready-mixed concrete in select geographic markets in the United States. The transaction closed on November 22, 2013.

Freshfields advises Transnet on first African local currency-denominated bond issued in international capital markets

Leading international law firm, Freshfields Bruckhaus Deringer, has advised South African ports, railways and pipelines parastatal, Transnet SOC Ltd, on the US$6 billion update of its Global Medium Term Note Programme and its issuance under the programme of the first African local currency-denominated bond on the international capital markets. The ZAR5 billion 9.5% Notes will be used to help fund the company’s R307.5-billion investment into ports, railways and pipelines.

Linklaters advises Slovenia on its third bond issuance

Linklaters has advised the Republic of Slovenia on a €1.5 billion bond issuance, which has been signed today.  This follows on from Linklaters advising the Republic on a $3.5 billion bond issuance in May 2013 and a $2.25 billion bond issuance in October 2012.

The Linklaters team was led by US corporate partner Mike Bienenfeld, with US corporate associate Anna Cronin-Scott, and capital markets associates Neil Pallender and Tilak Shah.

Wragge & Co Banking team advises on multimillion pound refinancing deal

Wragge & Co's Banking and Finance team has advised Norton Finance group on a £30 million refinancing deal with The Royal Bank of Scotland plc. In addition to refinancing its existing facilities with another lender, the transaction will allow Norton Finance to expand its first and second charge mortgage lending business, as part of its ambitious plans for growth.

Hogan Lovells Advises Raiffeisen Bank and OTKRITIE Bank as Joint Arrangers on Vneshprombank's Debut US$200m Eurobond Issue

Hogan Lovells has advised OTKRITIE Bank and Raiffeisen Bank International as joint arrangers on Vneshprombank's debut 9.00% US$200m Reg S issue of Loan Participation Notes (LPNs), due 2016.

This is a promising new addition to the list of Russian banks expanding their fundraising activities outside of Russia and is also the first time that OTKRITIE Bank has jointly led on a Eurobond issue.

The notes were issued for a term of three years by an Irish SPV listed on the Irish Stock Exchange. The issue was rated B2 by Moody's and B+ by Standard & Poor's.
