Simpson Thacher Represents Underwriters in $1.05 Billion Debt Offering for Boston Scientific Corporation

Simpson Thacher recently represented the underwriters, led by Barclays Capital Inc., J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated, in connection with the public offering by Boston Scientific Corporation (“Boston Scientific”) of $1.05 billion of debt securities, consisting of $600 million of 2.65% notes due 2018 and $450 million of 4.125% notes due 2023.

Shearman & Sterling Advises on Bolivia’s $500 Million Notes Offering

Shearman & Sterling represented Merrill Lynch, Pierce, Fenner & Smith Incorporated and HSBC Securities (USA) Inc. as joint lead managers in connection with Estado Plurinacional de Bolivia’s issuance of $500 million of its 5.950% notes due 2023.

The following Shearman & Sterling team advised the joint lead managers in the transaction: partner Stuart Fleischmann (New York-Capital Markets) and associates Jesse Cuevas (San Francisco-Capital Markets) and Antonio Herrera Cuevas (San Francisco-Capital Markets).

Murphy Oil USA's High-Yield Senior Debt Offering

Cravath represented the initial purchasers, led by J.P. Morgan Securities and Stephens Inc., in connection with the US$500 million 144A/Reg. S high-yield senior debt offering of Murphy Oil USA, Inc., which is being spun off from Murphy Oil Corporation. The transaction closed on August 14, 2013. Upon completion of the spin-off, Murphy Oil USA, Inc. will be one of the largest independent retailers of gasoline products and convenience merchandise.

Paul Hastings Represents Kayne Anderson MLP Investment Company In $175 Million Offering Of Senior Notes

Orange County, CA- Paul Hastings LLP, a leading global law firm, announced today that the firm represented Kayne Anderson MLP Investment Company, a closed-end investment company (the “Company”), in a $175 million offering of floating rate senior notes (the “Series HH Senior Notes”) to qualified institutional buyers in a private offering pursuant to Rule 144A under the Securities Act of 1933.  The Series HH Senior Notes mature on August 19, 2016 and pay interest at a rate of 3-month LIBOR plus 1.25% per annum.  The transaction closed on August 22, 2013.

The Firm recently represented the initial purchasers, led by J.P. Morgan Securities LLC and BMO Capital Markets Corp. as joint book-running managers, in a Rule 144A offering by B2Gold Corp. of $258.75 million aggregate principal amount of its 3.25% Convertible Senior Subordinated Notes due 2018. The offering closed on August 23, 2013.

Mills & Reeve helps ignite over £140m of new projects for Aviva

Mills & Reeve projects team has advised Aviva, one of the UK's leading providers of commercial finance, on four significant new projects this summer totalling over £140 million.

The team advised Aviva on its first two fire station projects, both with Blue3, a Kier-led consortia, for which Aviva provided over £80 million senior debt. The first project to close was to design, build and maintain eleven new fire stations for the Staffordshire Fire and Rescue Service. The second was to design, build and maintain nine new fire stations for the London Fire Brigade.

Shell International Finance's $3.75 Billion Registered Debt Offering

Cravath represented Shell International Finance B.V. and Royal Dutch Shell plc in connection with a US$3.75 billion registered debt offering by Shell International B.V., guaranteed by Royal Dutch Shell plc. Royal Dutch Shell plc is one of the world’s largest independent oil and gas companies in terms of market capitalization, operating cash flow and oil and gas production. The notes were listed on the New York Stock Exchange. The transaction closed on August 12, 2013.

The Cravath team included partner William P. Rogers Jr. and associate Raffael M. Fiumara.
