Dentons advises Volkswagen Financial Services on the £2 billion asset backed notes program of Driver UK Master S.A., Compartment 4

Munich—Global law firm Dentons has acted as legal counsel to Volkswagen Financial Services (UK) Limited in relation to a £2 billion program for the issuance of asset backed notes by Driver UK Master S.A., Compartment 4. In this transaction, notes in an aggregate principal amount of £500 million have been issued.

Wolf Theiss advised on Debut Bond Issue of Republic of Srpska

Wolf Theiss advised in relation to the debut issue of an international bond by the Republic of Srpska, with the issue of up to EUR 200,000,000 4.75% Notes due 2023. The closing took place on June 28, the bonds are quoted on the Vienna Stock Exchange.

Claus Schneider, Partner, Vienna and Nevena Skocic, Associate, Belgrade, structured the transaction and quarterbacked the multi-jurisdictional Wolf Theiss capital markets team that worked on the transaction as sole legal advisor.

The issuer under the Programme is Close Brothers Finance plc, and notes issued under the Programme are guaranteed by Close Brothers Limited. The dealers under the Programme are HSBC, Lloyds Bank Corporate Markets, NatWest Markets, Société Générale Corporate & Investment Banking and UBS Investment Bank.

Ashurst advised Santander Consumer Bank AG (Santander) on the securitisation of a portfolio of auto loans. The issuer, SC Germany Auto 2018-1 UG (haftungsbeschränkt), issues bonds with a total nominal value of €600 million backed by auto loan receivables. The receivables were sold by Santander. The bonds were placed by Banco Santander, S.A. (through its Santander Global Corporate Banking Division), UniCredit Bank AG and Société Générale S.A.

Slaughter and May advised BT Pension Scheme (“BTPS”) in connection with the subscription for £2bn of long dated Sterling denominated bonds issued by its sponsor, British Telecommunications plc (“BT”), under BT’s €20,000,000,000 Euro Medium Term Note Programme. The bonds are issued in six tranches, and £1bn of the bonds are fixed notes due between 2033 and 2042, and £1bn are CPI-linked notes due between 2033 and 2042.

Gide on the first issuance of bonds by QUARTUS under a EuroPP format

Gide has acted as deal counsel in connection with the first issuance of bonds by QUARTUS, under a EuroPP format, for a total amount of EUR 75 million due in 2022.

The issuance, distributed to European institutional investors and private managers by Invest Securities, will enable the company to diversify its financial partners and to pursue its development plan.

Gide’s team was led by partner Hubert du Vignaux, with counsel Laurent Vincent and associate Mariléna Gryparis.

Notes due 2023 guaranteed by the Republic of Finland pursuant to Finnvera's US$11,000,000,000 Euro Medium Term Note (EMTN) Programme. This transaction represents the fourth issuance by Finnvera since May 2017 on which Dentons has advised the lead managers, raising aggregate gross proceeds of over US$3,750,000,000.
