Freshfields advises ADM Capital on the $520m refinancing for International Oasis

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised ADM Capital, the London and Hong Kong-based private credit fund manager, who worked closely with Tejara Capital and Houlihan Lokey, on a successful $520m refinancing for International Oasis Holding Company KSCC (‘International Oasis’).  International Oasis’s investments include a stake in Aston Martin, the British luxury car brand.

Petróleos Mexicanos Issues CHF365 Million Offering

Cleary Gottlieb represented long-time client Petróleos Mexicanos (Pemex), the Mexican state oil company, in its CHF365 million offering of 1.750 percent notes due 2023, which closed on June 4, 2018.

The securities were issued under Pemex’s medium-term notes program.

BNP Paribas (Suisse) SA and UBS AG acted as joint managers. The securities were listed on the SIX Swiss Exchange.

Davis Polk Advises Ad Hoc Group in Connection with Murray Energy Corporation Refinancing

Davis Polk is advising an ad hoc group of term loan lenders holding approximately 61% of the outstanding term loans of Murray Energy Corporation and noteholders holding approximately 71% of Murray Energy’s outstanding 11.25% senior secured notes due 2021 in connection with a term loan amendment and exchange and a private notes exchange with Murray Energy.

Clifford Chance advises SCOR in launch of pioneering USD 300 million catastrophe bond

International law firm Clifford Chance has advised global reinsurer SCOR on its successful sponsoring of a new catastrophe bond ("cat bond"), Atlas Capital UK 2018, with the company becoming the first reinsurer to use the new UK insurance-linked securities (ILS) regime to issue such a bond. As part of the transaction, Clifford Chance also advised the new issuer and acted as deal counsel.

Davis Polk advised the underwriters in connection with the SEC-registered Schedule B debt offerings by KEXIM of $800 million aggregate principal amount of its floating-rate notes due 2021 and $700 million aggregate principal amount of its floating-rate notes due 2023.

KEXIM is an official export credit agency providing comprehensive export credit and guarantee programs to support Korean enterprises conducting overseas business.

Premier Foods Finance's High-Yield Senior Secured Notes Offering

Cravath represented Premier Foods Finance plc in connection with its £300 million Reg. S high-yield senior secured notes offering, guaranteed by Premier Foods plc and certain of its subsidiaries. Premier Foods is one of the United Kingdom's largest food producers, engaging in the manufacture, distribution and sale of a wide range of branded and non-branded food products. The notes will be listed on the Irish Stock Exchange. The transaction closed on June 4, 2018.

Linklaters Advises Vodafone on US$11.5bn Bond Offering

Offering is the second-largest U.S. corporate bond sale of 2018

Linklaters has advised the Vodafone Group on its US$11.5 billion bond offering, which represents the second-largest U.S. high-grade bond to price this year.

The dollar-denominated offering consisted of six-tranches and closed on May 30, 2018. The SEC-registered notes have fixed and floating rates with an average life of 14 years and effective average euro rate of 2.0%. They are expected to be listed on the New York Stock Exchange.
