Slaughter and May advised FirstGroup on its issue of US private placement notes

Slaughter and May advised FirstGroup plc on its US private placement of $100,000,000 4.17% notes due 27 March 2025 and $175,000,000 4.29% notes due 27 March 2028. The notes were placed with US institutional investors. The proceeds of the issuance were used towards the repurchase of FirstGroup’s existing £300,000,000 8.125 per cent. Bonds due 2018 on 28 March 2018.

Norton Rose Fulbright advises Emirates on $600m Sukuk issuance

Global law firm Norton Rose Fulbright has advised Emirates on its US$600 million Sukuk.

The certificates were issued on 22 March 2018 and admitted to listing and trading on the regulated market of the Irish Stock Exchange and on NASDAQ Dubai. The proceeds will be used for general corporate purposes including aircraft financing and working capital.

King & Spalding Advises on Major Telecom Securitization Transaction

King & Spalding represented a major international investment bank as the sole structuring advisor and as the representative of the initial purchasers in the purchase of $500 million of Series 2018-1-Secured Tower Revenue Securities, Subclass A issued by American Tower Trust I.  The privately-placed notes are collateralized by a loan to two special-purpose subsidiaries that is secured primarily by mortgages on their interests in over 5,000 communications sites.

Simpson Thacher, acting as sole international counsel, represented BNP Paribas, Commerzbank Aktiengesellschaft, Credit Suisse (Hong Kong) Limited, The Hongkong and Shanghai Banking Corporation Limited, Merrill Lynch International, LLC Seoul Branch, Mizuho Securities Asia Limited, Shinhan Asia Limited and Shinhan Investment Corp., as joint lead managers in connection with the offering of US$400 million of 4.5% Tier II Subordinated Notes due 2028 by Shinhan Bank under its US$6 billion Global Medium Term Note program. The offering was conducted in reliance upon Regulation S under the U.S.

Slaughter and May advised Richemont on the issuance by Richemont International Holding S.A. of EUR 1.5bn 1% notes due 2026, EUR 1.25bn 1.5% notes due 2030 and EUR 1.25bn 2% notes due 2038. The notes are guaranteed by Compagnie Financiere Richemont SA and listed on the Luxembourg Stock Exchange.

CMS advises Telefónica Deutschland on issue of blockchain-based promissory notes

Frankfurt/Main – Telefónica Germany GmbH & Co. OHG, a subsidiary of Telefónica Deutschland Holding AG, has completed a placement of promissory note loans and registered bonds. The transaction was supported by Landesbank Baden-Württemberg (LBBW) and DZ BANK AG, Frankfurt am Main. The company chose blockchain technology for the emission. The innovative new instrument is being used in a promissory note loan tranche marketed by LBBW with a value of EUR 75 million and a term of one year.

Milbank Advises Globalworth on its €1.5B EMTN Programme and €550M Senior Unsecured Notes Issuance

Milbank, Tweed, Hadley & McCloy LLP advised Globalworth Real Estate Investments Limited on the establishment of its €1.5 billion EMTN Programme and the issuance threreunder of €550 million 3.000% senior unsecured notes due 2025. The proceeds from the issue will be used for general corporate purposes. The notes have been listed on the regulated market of the Irish Stock Exchange. In addition, they are expected to be listed on the Bucharest Stock Exchange.
