Allen & Overy advised the underwriters in connection with Lodha Developers' high yield bond tap issuance

HONG KONG – Allen & Overy advised CLSA, J.P. Morgan and UBS as underwriters in connection with the issuance by Lodha Developers of an additional USD125 million of high yield notes, which form a single series with the previously issued USD200 million of notes. The notes are guaranteed by Lodha Developers Private Limited and certain of its subsidiaries and are listed on the Singapore Stock Exchange. Proceeds from the tap offering will be used to refinance Lodha’s existing debt.

Ashurst advises on €412.7m note issuance by Harvest CLO XVIII DAC

Ashurst advised The Bank of New York Mellon as trustee and in its agency capacities in connection with various classes of notes issued by Harvest XVIII CLO DAC, totalling €412.7 million and due in 2030. 

The Ashurst team was led by corporate trust (DCM) partner Malcolm Charles, assisted by associates Ciaran Vinaccia and Sophia Bathgate.

Accentro issues EUR 100 million corporate bond with Heuking Kuhn Luer Wojtek

With a team led by Dr. Thorsten Kuthe, Partner at the firm's Cologne office, Heuking Kuhn Luer Wojtek advised Accentro Real Estate AG on issuing a EUR 100 million corporate bond. Accentro intends to use the net proceeds from the issue primarily to finance the acquisition of new real estate assets in Germany.
 
ODDO BHF SCA issued the bond with a term of three years as part of a private placement. It is Accentro's largest debt financing measure on the capital market to date.
 

Simpson Thacher Represents Underwriters as Sole International Counsel in US$300 Million Notes Offering by Hankook Tire

Simpson Thacher represented the underwriters, acting as sole international counsel, in the offering of US$300 million 3.5% Notes due 2023 by Hankook Tire Co., Ltd. The offering was conducted in reliance upon Regulation S under the U.S. Securities Act of 1933, as amended.

Hankook Tire Co., Ltd. is the largest tire manufacturer in Korea with global operations. Citigroup Global Markets Limited, Crédit Agricole Corporate and Investment Bank and J.P. Morgan Securities plc were joint bookrunners for the offering.

Simpson Thacher Represents Underwriters in $2.75 Billion Senior Notes Registered Offering by Sumitomo Mitsui Financial Group

Simpson Thacher recently represented the underwriters in the SEC-registered offering by Sumitomo Mitsui Financial Group, Inc. (“SMFG”) of $2.75 billion aggregate principal amount of its senior notes in three tranches due 2023 (floating rate), 2023 and 2028 (fixed rate). SMFG intends the senior notes to contribute to its total loss-absorbing capacity (TLAC) when TLAC requirements are introduced in Japan.

Davis Polk Advises Natura on Its $750 Million Notes Offering

Davis Polk advised Natura Cosméticos S.A. in connection with its $750 million offering of 5.375% senior notes due 2023, which were issued pursuant to Rule 144A and Regulation S under the Securities Act.

Founded in 1969, Natura is a Brazilian multinational cosmetics manufacturer, recognized for its commitment to sustainable development, and a leader in the direct sales sector in Brazil. Natura is also the parent company of The Body Shop, an iconic British brand focusing on innovative, nature-inspired products, and of Aesop, an Australian luxury cosmetics brand.

European Investment Bank's $5 Billion Registered Notes Offering

Cravath represented the European Investment Bank in connection with its $5 billion registered notes offering. The European Investment Bank, which functions as the bank of the European Union, supports projects that make a significant contribution to growth, employment, economic and social cohesion and environmental sustainability, both in the EU and beyond. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on January 17, 2018.

Ensco plc $1 Billion Senior Notes Offering and Concurrent Tender Offer

Davis Polk advised the representatives of the several underwriters, in an SEC-registered offering by Ensco plc of $1 billion aggregate principal amount of its 7.75% senior notes due 2026.

Davis Polk also advised the dealer managers in connection with Ensco’s concurrent cash tender offer for its outstanding 8.50% senior notes due 2019, 6.875% senior notes due 2020 and 4.70% senior notes due 2021. The tender offer was funded with the proceeds of the notes offering.
