DLA Piper has advised BrainCool AB (publ) ("BrainCool") in connection with BrainCool's securement of external financing through issuance of convertible notes with warrants attached. These will be delivered in several tranches of a total amount of SEK 100 million through convertible notes, and an additional SEK 80 million through warrants spread over 36 months.

(“GOL”), the Brazilian airline.

Morgan Securities, Morgan Stanley & Co., Barclays Capital, Credit Suisse Securities and Desjardins Securities, as co-managers, in connection with Bank of Montreal’s registered public offering of $1.25 billion aggregate principal amount of its 3.803% subordinated notes due 2032 (Non-Viability Contingent Capital (NVCC)).

Gide advised a bank syndicate led by NatWest Markets on Klépierre's tender offer with respect to four series of notes due 2019, 2021 and 2022 respectively for a total amount of approximately EUR97 million.

Simultaneously, Gide assisted a bank syndicate led by BNP Paribas on the issuance by Klépierre of EUR500 million 1.625 per cent. notes due 2032 and admitted to trading on the regulated market of Euronext Paris.

Milbank, Tweed, Hadley & McCloy LLP advised DBS and HSBC as joint dealer managers in connection with the tender offer of VLL International, Inc.’s (VLL) outstanding $51.8 million 6.75 percent notes due 2018 (the 2018 Notes) and $180.8 million 7.45 percent notes due 2019 (the 2019 Notes) and as joint lead underwriters in connection with a new issuance of US$350 million of notes (the New Notes) by VLL. VLL is a subsidiary of Vista Land & Lifescapes, Inc., one of the Philippines’ largest real estate developers.
