RESIDOMO Completes €680 Million Senior Secured Notes Offering

Simpson Thacher represented RESIDOMO, s.r.o., a Blackstone and Round Hill Capital portfolio company, in connection with a Rule 144A and Regulation S offering of €680 million in aggregate principal amount of its 3.375% Senior Secured Notes due 2024. RESIDOMO also entered into a CZK 520 million (approximately €20 million) super senior revolving credit facility agreement. The transaction closed on October 13, 2017.

Shearman & Sterling Advises on Miller Homes’ £425 Million Inaugural High Yield Bond

Shearman & Sterling represented Barclays, Deutsche Bank, HSBC, Goldman Sachs, Jefferies and Lloyds Bank as initial purchasers on Miller Homes Group Holdings plc’s £425 million high yield bond offering. The bond consisted of £250 million 5.50% senior secured fixed-rate notes due 2024 and £175 million senior secured floating-rate notes due 2023. 

KEXIM’s $200 Million Offering

Cleary Gottlieb served as transaction counsel in an offering of $200 million zero coupon notes due 2047 by The Export-Import Bank of Korea (KEXIM) under its $25 billion global medium-term note program.

E.Sun Commercial Bank, Ltd. and Fubon Securities Co., Ltd. served as joint lead managers and Morgan Stanley acted as structuring agent for the offering, which priced on September 19, 2017, and closed on October 11, 2017. The notes were listed on the Taipei Exchange.

White & Case Advises J.P. Morgan on Issuance in 2017 of 'POEMS' Bonds Totalling £3.5 Billion

Global law firm White & Case LLP has advised J.P. Morgan Securities plc, as Sole Global Coordinator and Bookrunner, on the issuance of £1.5 billion 3.875 percent Secured Limited Recourse Mandatorily Exchangeable Bonds due 2020 by Volcan Holdings II plc.

Earlier in the year, White & Case advised J.P. Morgan on the inaugural 'POEMS' transaction, a first-of-its-kind innovative £2 billion financing that used a mandatory exchangeable bond issued by Volcan Holdings plc to finance an initial share purchase of 11.44 percent of Anglo American plc.

Shearman & Sterling Advises Jaguar Land Rover on $500 Million High Yield Bond Offering

Shearman & Sterling advised Jaguar Land Rover on its $500 million senior notes offering. The notes pay interest at a rate of 4.500% per annum due 2027.

The high yield senior notes are unsecured and guaranteed by Jaguar Land Rover Limited and Jaguar Land Rover Holdings Limited. Jaguar Land Rover intends to use the proceeds for general corporate purposes, including to support its ongoing growth and capital-spending plans.

The Emirate of Abu Dhabi $10 Billion Notes Offering

Davis Polk advised the dealers and joint lead managers in connection with the update by the Emirate of Abu Dhabi of its global medium-term note program and a Rule 144A/Regulation S offering of $3 billion aggregate principal amount of 2.500% notes due 2022, $4 billion aggregate principal amount of 3.125% notes due 2027 and $3 billion aggregate principal amount of 4.125% notes due 2047.

Macfarlanes advises Venn Partners on PRS facility and related bond issuance

Macfarlanes has advised debt fund manager, Venn Partners, on a £46.7m facility to Invesco Real Estate to refinance a portfolio of 580 purpose-built PRS developments located in Bracknell, Exeter, Bedford, Crawley and Stevenage.

The portfolio was recently acquired by a joint venture between Invesco Real Estate and Westrock.

WOLF THEISS ADVISES VOLKSBANK WIEN AG IN ISSUANCE OF A €400 MILLION TIER-2 BOND

Wolf Theiss has advised Volksbank Wien in the issuance of a subordinated bond (tier 2) with a volume of €400 million. The bond has a term of 10 years.

The subordinated bond was offered exclusively to institutional investors for purchase; the interest rate for the first five years was set at 2.75% per annum. The issuer is entitled to a one-time right to terminate the 10-year fix to fix interest-bearing subordinate bond.

Gide on the issuance of EUR 850 million 0.875 per cent. notes by Vivendi

Gide advised a syndicate of banks comprising BNP Paribas, MUFG Securities EMEA plc, Natixis and Société Générale on the inaugural issuance by Vivendi under its EMTN programme of EUR 850 million 0.875 per cent. notes due September 2024 and listed on Euronext Paris.

Gide's team was led by partner Hubert du Vignaux, assisted by counsel Laurent Vincent, Aude-Laurène Dourdain and Juliette Pierre.

Slaughter and May advised Holmes Master Issuer on its issue of Notes

Slaughter and May advised Holmes Master Issuer PLC in respect of the issue of a total of £500 million of senior notes, in two different classes, under its Residential Mortgage-Backed Note Issuance Programme. The Notes were listed on the Main Market of the London Stock Exchange and awarded the Prime Collateralised Securities Label by the PCS Secretariat.

Slaughter and May also advised Santander UK plc in its capacity as sponsor, seller, servicer, cash manager and originator under the Programme.
