Suntory Completes $600 Million Senior Notes Offering

Simpson Thacher recently represented Suntory Holdings Limited in connection with a Rule 144A/Regulation S offering of $600 million aggregate principal amount of 2.55% Senior Notes due 2022. Established in 1899 and registered in Osaka, Japan, Suntory is a globally diversified manufacturer and distributor of beverages and foods. Suntory’s product portfolio includes soft drinks, food products, whisky and other spirits, alcoholic ready-to-drink beverages, beer, wine and health supplements.

Allen & Overy advises on Export-Import Bank of India's inaugural Formosa Bond issuance

Allen & Overy has advised Export-Import Bank of India (Exim) in connection with the Regulation S offering of floating rate Formosa notes due 2022 under its USD10bn global medium term note programme. The dollar-denominated five-year bond raised USD400m for the Indian issuer. The notes were dual listed on the Singapore Exchange and the Taipei Exchange. This transaction marked the maiden Formosa bond issuance by Exim. Formosa bonds are notes that are sold in Taiwan but denominated in foreign currency.

Clayton Utz advises on landmark $350 million Australian Term Loan B deal for InfoTrack and LEAP Legal Software

Clayton Utz has advised Australian Technology Innovators Pty Ltd (ATI) on its $350 million $A Term Loan B (TLB) raising – a landmark deal for the Australian debt market. ATI owns two leading Australian technology companies, InfoTrack and LEAP Legal Software.

The transaction was co-led by Clayton Utz capital markets and finance partners Stuart Byrne and Alex Schlosser.

Morgan Lewis Advises Republic of Tajikistan on Debut Sovereign Bond Offering

Morgan Lewis served as US legal adviser to the Republic of Tajikistan on a $500 million Eurobond offering that closed today.

The offering of 7.125% Notes due 2027 was made under Rule 144A and Regulation S, and the bonds are listed on the Euro MTF market of the Luxembourg Stock Exchange. It is Tajikistan’s first-ever sovereign Eurobond offering.

White & Case Advises Icade on Its Inaugural Green Bond Issue

White & Case LLP has advised Icade on its inaugural green bond issue for an amount of €600 million, with a maturity of 10 years and an annual coupon of 1.50%, the proceeds of which will be affected to the financing and refinancing of "green" assets and projects (offices and tertiary parks).

The bonds will be admitted to trading on the regulated market of Euronext Paris.

Global law firm White & Case LLP has advised Oaktree Capital Management, acting through its investment vehicles OCM Luxembourg ECS S.à r.l. as arranger and ECS Finaria S.à.r.l. as underwriter, on the English and Italian law aspects of the private placement of notes purchased by them and issued by Finaria S.p.A.

Finaria S.p.A. is an Italian holding company established in 1996 for the management of hotel activities.
