Slaughter and May is advising Kosmos Energy on its proposed secondary listing on the standard segment of the London Stock Exchange. Kosmos is a leading independent oil and gas exploration and production company focused on frontier and emerging areas along the Atlantic Margin which has been listed on the New York Stock Exchange since its IPO in 2011.

Kosmos is pursuing a listing on the London Stock Exchange to broaden its international investor base. The listing is expected to become effective in the third quarter of 2017.

Herbert Smith Freehills is advising Yancoal Australia Ltd (Yancoal) on its US$2.5 (A$3.1) billion capital raising, which comprises a renounceable non-accelerated pro-rata Entitlement Offer (with rights trading) entitling eligible shareholders to 23.6 new shares for every 1 existing share held on the record date, and placement of new shares to institutional investors, at an offer price of US$0.10 ($A0.12) per share, announced to ASX on 2 August 2017.

NautaDutilh Luxembourg assists on the IPO of Play Communications

NautaDutilh Luxembourg advised, alongside Latham & Watkins and Weil Gotshal, the underwriters JP Morgan, UBS and Bank of America Merrill Lynch, on the EUR 1 billion initial public offering (IPO) of Play on the Warsaw Stock Exchange, which values the company at EUR 4 billion (PLN 16 billion).

Play was listed on 27 July 2017. It is the largest IPO in the telecommunications sector in Europe since June 2015, and one of the five largest ever Polish IPO's. Play was assisted by White & Case and Loyens & Loeff.

Biotoscana Investments $377.7 Million Initial Public Offering

Davis Polk advised Biotoscana Investments S.A. and the selling shareholders in connection with an initial public offering of 44,550,000 common shares, including common shares in the form of Brazilian Depositary Receipts, for an aggregate amount of approximately $377.7 million. The common shares trade on the Luxembourg Stock Exchange and the BDRs trade on the São Paulo Stock Exchange. The securities sold in the international offering were placed under Rule 144A and Regulation S.

Sidley Advises on Eris Lifesciences’ IPO, the Largest Offering in India’s Pharmaceutical Industry to Date

Sidley represented Axis Capital Limited, Citigroup Global Markets India Private Limited and Credit Suisse Securities (India) Private Limited as underwriters in the Section 4(a) and Regulation S compliant initial public offering of Eris Lifesciences Limited. The total offering amount was approximately US$270 million. This offering is the largest pharmaceutical company IPO from India to date and one of the largest private exits ever by way of an IPO.
