DLA Piper (Canada) LLP advised Freshii Inc. in its $144 million IPO and TSX’s first IPO of 2017

On January 31, 2017, Freshii Inc. (“Freshii”) completed an initial public offering (“IPO”), comprised of both treasury and secondary offerings, and Toronto Stock Exchange listing of Class A subordinate voting shares. An aggregate of 12,535,000 Class A subordinate voting shares were issued pursuant to the IPO, for aggregate gross proceeds to Freshii and the selling shareholders of approximately $144 million.  Freshii’s Class A subordinate voting shares trade on the Toronto Stock Exchange under the symbol “FRII.” 

Reed Smith advises Xafinity on its £190.3 million IPO on the main market of the London Stock Exchange

Reed Smith has advised pensions actuarial, consulting and administration business Xafinity plc (“Xafinity”) on its successful £190.3 million IPO on the premium listing segment of the main market of the London Stock Exchange and related institutional placing of new and existing shares which raised proceeds of £176.6 million. Admission of Xafinity’s ordinary shares to trading on the London Stock Exchange took place at 8.00 a.m. this morning.

Baker McKenzie Advises Underwriters on VietJet Air IPO

Baker McKenzie has assisted a group of International Banks including Deutsche Bank, JP Morgan and BNP Paribas as joint global coordinators to VietJet Aviation Joint Stock Company (VietJet Air) in its initial public offering of shares.  On 28 February, Vietnam’s first privately owned new-age airline listed 300 million shares at 90,000 VND (US $3.95) per share on the Ho Chi Minh City Stock Exchange (HOSE).

Hengeler Mueller advises on largest corporate liability management transaction in Europe

Hengeler Mueller has advised Citibank Global Markets Limited and Royal Bank of Scotland plc (trading as NatWest Markets) in their capacity as solicitation agents or dealer managers on the largest corporate liability management transaction in Europe outside the finance sector to date. Following the IPO of the subsidiary innogy SE, 18 issued or guaranteed bonds of RWE AG in a total nominal amount of approximately EUR 11 bn were intended to be transferred to innogy SE as issuer or guarantor, respectively. This required an affirmative resolution of the bondholders of 16 of the bonds.

Allen & Overy advises on ground-breaking Vietnam IPO

Allen & Overy has advised VietJet Aviation Joint Stock Company, Vietnam’s leading international low-cost airline, on its ground-breaking USD170 million IPO and listing on the Ho Chi Minh Stock Exchange (HOSE). Following a successful bookbuilding with international and Vietnamese institutional investors, and a domestic retail placement, trading in VietJet’s shares commenced today on the HOSE.

Mayer Brown advises GBGI Limited on its admission to AIM

London — Mayer Brown has advised GBGI Limited, a leading integrated provider of international benefits insurance, on its admission to trading on AIM. On admission, the company had an initial market capitalisation of approximately £130 million, making this the largest admission to AIM in 2017 to date.

GBGI, which trades as the Global Benefits Group, also successfully raised total gross proceeds of £32 million through a placing of new shares. The proceeds of the placing will be used to further strengthen GBGI's capital position and support future growth.

£50m placing by Purplebricks Group plc

Travers Smith LLP is advising Zeus Capital Limited, as nominated adviser and joint bookrunner, and Investec Bank plc and Peel Hunt LLP, as joint bookrunners, on the £50 million placing of new ordinary shares by Purplebricks Group PLC (“Purplebricks”).

The proceeds of the placing are to be used for additional expansion capital to enable Purplebricks to establish itself in a number of key states across the United States.

The placing is conditional on, inter alia, the passing of shareholder resolutions at a general meeting of Purplebricks.

Dentons has advised Areej Vegetable Oils & Derivatives SAOG (now SAOC) ("Areej"), on its de-listing from the primary market of the Muscat Securities Market and its conversion from a public joint stock company to a closed joint stock company. Areej is a leading manufacturer and distributor of vegetable oils and their derivatives to institutional and wholesale buyers, primarily in the Middle East. The de-listing process followed certain majority shareholders offering and subsequently acquiring shares from a variety of minority shareholders.
