Shearman & Sterling Advises on Jacobson Pharma’s Hong Kong IPO Offering

Shearman & Sterling advised Jacobson Pharma Corporation Limited on its global offering and initial public offering on the Main Board of The Stock Exchange of Hong Kong Limited. BOCI Asia Limited acted as the sole sponsor, sole global coordinator, sole bookrunner and sole lead manager.

Jacobson Pharma is the largest generic drug company in Hong Kong with more than 30 percent share of the total generic drug market since 2012.

Mills & Reeve advises Mercia Technologies on AIM IPO of Concepta Diagnostics

We have advised long standing client, Mercia Technologies PLC, on the admission to AIM of its portfolio company Concepta Diagnostics Limited and subsequent £1 million investment into the AIM listed vehicle, Concepta PLC, to support the future growth of the company. The transaction was effected by way of a reverse takeover of Frontier Resources International plc (renamed Concepta PLC) which acquired the entire issued share capital of Concepta Diagnostics prior to admission.

DLA Piper advises John Menzies plc on the proposed acquisition of Aircraft Service International Group (ASIG)

DLA Piper has advised Menzies Aviation, a division of John Menzies plc, on the proposed acquisition of ASIG from BBA Aviation plc for USD 202 million.

Menzies Aviation is a logistics and support specialist providing services to the international airline sector owned by Scottish business, John Menzies. The company operates in 149 airports and 32 countries around the world where it provides services including, ground handling, cargo handling and cargo forwarding.

Mayer Brown advises Investec Bank on Hollywood Bowl Group IPO

London - Mayer Brown advised Investec Bank plc as Sole Sponsor, Financial Adviser, Bookrunner and Broker in relation to Hollywood Bowl Group plc’s ("Hollywood Bowl") initial public offering.

Hollywood Bowl’s shares are expected to be admitted to the premium segment of the Official List and to trading on the main market of the London Stock Exchange on 21 September 2016. The shares being sold by the selling shareholders will be priced at 160p per ordinary share, which implies an expected market capitalisation of £240 million on admission.

Hogan Lovells Advises JP Morgan Cazenove on £102 million block sale of shares in Regus plc

 London 20 September – Hogan Lovells London-based corporate team has advised JP Morgan Cazenove in connection with their placing of 37,000,000 existing ordinary shares in Regus plc, in a deal worth approximately £102 million.

The existing ordinary shares were held indirectly by the current CEO of Regus plc, Mark Dixon, who continues to be a significant shareholder in Regus plc and now holds 27.7% of Regus plc's ordinary shares.

Davis Polk advised the underwriters on a registered shelf takedown of 28,500,000 American depositary shares. The total proceeds of the shelf takedown were approximately $1.3 billion.

Ctrip.com International, Ltd. is a NASDAQ-listed company and a leading travel service provider for hotel accommodations, airline tickets, train tickets, bus tickets, packaged tours and corporate travel management in China.

Gleiss Lutz is advising MPC Münchmeyer Petersen Capital AG (“MPC Capital”) on a subscription rights offering involving a pre-placement of shares with institutional investors. In the event of a full placement of the capital increase, the Hamburg-based asset and investment manager would receive gross proceeds of approx. EUR 36.5 million. MPC Capital plans to use the funds from the capital increase to finance the company’s further growth through equity investments in new real investment products by way of co-investments.
