CMS Poland advises on two new IPOs

CMS is acting as the sole legal advisor for the Warsaw Stock Exchange debut of developer i2 Development, planned for the second half of May. CMS’ Capital Markets team was also one of the legal advisors at the initial public offering of Dom Maklerski X-Trade Brokers S.A., which debuted on the WSE on 6 May this year.

After a strong final quarter of last year, when CMS advised on the IPOs of companies such as InPost, Wittchen and Enter Air, CMS’ Capital Markets Team is one of the most sought-after legal advisors for public offerings in Poland.

White & Case Advises Bank Group on US$250 Million ROS AGRO PLC Offering

Global law firm White & Case LLP has advised J.P. Morgan, UBS and VTB Capital as joint global coordinators and joint bookrunners on a US$250 million, Rule 144A/Regulation S equity offering by ROS AGRO PLC of global depositary receipts listed on the London Stock Exchange and MICEX Stock Exchange.

ROS AGRO PLC, together with its subsidiaries, is a leading Russian vertically integrated diversified food producer. The transaction marks the first London listed equity capital markets offering by a Russian business since October 2015.

WFWAP advises Andalas on farm-in, reverse takeover and placing

Watson Farley Williams Asia Practice LLP (“WFWAP”), the Singapore office of International law firm Watson Farley & Williams, has advised Andalas Energy and Power plc (“Andalas”) on its conditional farm-in to the Tuba Obi East Technical Assistance Contract, which constituted a reverse takeover pursuant to the AIM Rules for Companies, re-admission to AIM and conditional placing raising £2.6 million.

Andalas focuses on power generation and exploration and production activities in Indonesia.

(formerly known as GE Money Bank a.s., Moneta), a leading retail and expanding SME bank in the Czech Republic, and GE Capital International Holdings Limited (GECIHL), the previously sole shareholder of Moneta and part of the GE group, on the initial public offering (IPO) of the majority of Moneta's shares.

Slaughter and May advised Centrica plc - placing of shares

Slaughter and May advised Centrica plc on a placing of approximately 7% of its existing issued share capital, which raised gross proceeds of approximately £700 million (the Placing). The Placing, which was announced on 5 May 2016, was conducted by an accelerated book-building process. Goldman Sachs International and UBS Limited acted as joint bookrunners in connection with the Placing.

Slaughter and May worked as a team with Paul, Weiss, Rifkind, Wharton & Garrison LLP, who advised Centrica plc on the US law aspects of the Placing.

Dentons advises on IPO for consumer finance company Morses Club

London—Dentons has advised Morses Club on its initial public offering (IPO) on London's Alternative Investment Market (AIM). Morses Club, a leading UK non-standard consumer finance company, was admitted successfully to AIM this morning with a market capitalisation of approximately £140 million.

Morses Club has approximately 200,000 customers across the UK, providing unsecured loans to customers over 20-78 week periods, which are repayable on a weekly basis.

Slaughter and May advised Intercontinental Exchange, Inc. (ICE), a leading operator of global exchanges and clearing houses and provider of data and listings services, in relation to its possible public offer for London Stock Exchange Group plc (LSEG). ICE announced on 1 March 2016 that it was considering making an offer for LSEG. Subsequently, on 4 May 2016, ICE withdrew on terms announced.

Baker & McKenzie Advises BOE Technology on its HK$1.4 billion Subscription of Shares in Varitronix International Limited

Baker & McKenzie recently advised BOE Technology Group Co., Ltd, a joint stock company established in the PRC and listed on the Shenzhen Stock Exchange ("BOE"), on its share subscription, through its wholly owned subsidiary, in Varitronix International Limited, a company listed on the Hong Kong Stock Exchange ("Varitronix").  The share subscription involved the subscription of a total of 400 million new shares at an issue price of HK$3.5 per share, amounting to HK$1.4 billion.
