Gernandt & Danielsson advised the underwriters in the Camurus IPO

Gernandt & Danielsson has advised Carnegie Investment Bank and Handelsbanken Capital Markets in connection with the listing of Camurus AB (publ) (“Camurus”) shares on Nasdaq Stockholm.

The offering was priced at SEK 57 per share. The offering consisted of 12,813,937 shares, including an over-allotment option of 1,671,383 shares, corresponding to a total value of the offering of SEK 730 million.

Nabarro advises Numis Securities on three consecutive transactions worth £161m

Nabarro has advised Numis Securities Limited as Nominated Adviser, Bookrunner and Underwriter on the proposed AIM-reverse acquisition by speciality pharmaceutical company Alliance Pharma plc (“Alliance”) of certain assets and businesses principally focused on dermatology from Sinclair IS Pharma plc. The consideration for the acquisition is £127.5m (plus an expected £4.7m for inventory) which will be part-funded by the proceeds of a vendor placing by Numis to raise gross proceeds of approximately £78.5m.

EDAG, one of the world’s largest independent engineering services providers for the global automotive industry, completed its IPO with the initial listing of its shares on the regulated market (Prime Standard) of the Frankfurt Stock Exchange. A total of 10,062,500 shares (including 1,312,500 shares in connection with an overallotment) were placed from the holdings of ATON GmbH, an investment company of the Helmig family. Based on the offer price, the total gross volume of placement amounted to approximately €191m (including the overallotment).

Herbert Smith Freehills advises SurfStitch on $A23.7 million acquisition and A$50 million placement

Herbert Smith Freehills has advised SurfStitch Group Limited (SurfStitch) on its acquisition of SHI Holdings Pty Limited (SHI), a global designer and distributor of water board sports products. The acquisition, which completed on 3 December 2015, saw SurfStitch purchase 100% of the shares of SHI for an enterprise value of A$23.7 million, paid in cash.

Hengeler Mueller advises RWE on pooling of the renewable energy, grids and retail business areas in a new subsidiary and IPO of approximately 10%

The Executive Board of RWE AG has resolved on the pooling of the renewable energy, grids and retail business areas in Germany and abroad in a new subsidiary and the placement of approximately 10% of the new subsidiary by way of an initial public offering in connection with a capital increase which is expected to take place at the end of 2016. At the same or later point in time, additional stakes may be disposed. By transferring these business areas to the new subsidiary, RWE AG will create new financing and additional growth opportunities for the activities pooled in the subsidiary.

Delphi advised TC TECH Sweden AB (publ) in connection with an IPO

Delphi has been legal advisor to TC TECH Sweden AB (publ) when implementing a diversification of ownership through a public offering of new shares in connection with a listing on NASDAQ First North.

The offering, which resulted in subscriptions totaling 110 million SEK and a subscription rate above 300%, provided the company with a capital contribution of approx 30 million SEK and around 800 new shareholders. The first day of trading for the shares is today, 30 November 2015.

Linklaters advises on the first international exchangeable bond which is exchangeable into Hong Kong listed H-shares

Linklaters has advised the underwriters in connection with Baosteel Group’s issuance of a US$500 million bond exchangeable into Hong Kong listed H-shares of China Construction Bank Corporation.

Hwang Hwa Sim, Capital Markets partner at Linklaters who led on this transaction, said the deal opens up a new asset class for investors and has created pricing visibility for future equity linked deals from the 200-plus China incorporated companies whose H-shares are listed on the Hong Kong stock exchange.

Vinge Advises Dometic In Relation To Its Listing On Nasdaq Stockholm

Vinge advises Dometic Group AB (publ) in relation to its listing on Nasdaq Stockholm. A prospectus was published on 11 November 2015 and the first day of trading on Nasdaq Stockholm was 25 November 2015. The price in the offering was set at SEK 48 per share, corresponding to a market capitalisation of SEK 14,200 million for Dometic. The total value of the offering amounts to SEK 5,396 million, assuming that the over-allotment option is exercised in full.

On 4 November 2015 EDAG Engineering Group, a leading independent provider of engineering services for the global automotive industry, announced its intention to do an initial public offering (IPO) and admission for trading in the regulated market of the Frankfurt Stock Exchange (Prime Market). On 2 December 2015 trading of EDAG shares on the Frankfurt Stock Exchange started successfully.
