CMS advises on the delisting of a logistics company

CMS has supported logistics company PCC Intermodal S.A. in the process of exiting the Warsaw Stock Exchange and re-materialising its shares. Following a squeeze-out that was completed earlier this year, the company was delisted and its shares rematerialised on 11 September 2018. The main shareholder, PCC SE, said in a press release that the exit of PCC Intermodal from the Warsaw Stock Exchange is expected to increase its flexibility in terms of financing and implementing an investment programme.

Ashurst advises Tritax EuroBox plc on its £300 million (c.€340 million) IPO

Ashurst has advised newly incorporated UK investment trust Tritax EuroBox plc (the "Company") in relation to its successful initial public offering to raise £300 million (c.€340 million). The IPO was structured as a placing, an offer for subscription and an intermediaries offer of Ordinary Shares, with the Company also putting in place a placing programme to provide flexibility to issue up to a further 500 million Ordinary Shares and/or C Shares in the 12 months following the date of publication of the prospectus.

Studio City International Holdings Limited $359.4 Million Initial Public Offering

Davis Polk advised the representatives of the underwriters on the SEC-registered initial public offering by Studio City International Holdings Limited of 28,750,000 American Depositary Shares, each representing four Class A ordinary shares, for total gross proceeds of approximately $359.4 million. Studio City has granted the underwriters an option to purchase up to an additional 4,312,500 ADSs. The ADSs are listed on the NYSE under the symbol “MSC.”

King & Wood Mallesons advises HPI on its non-public issuance of A-shares

Herbert Smith Freehills is delighted to have advised WorleyParsons Limited (WorleyParsons) on its A$2.9 billion underwritten pro rata accelerated non-renounceable entitlement offer of shares (Offer), announced to the ASX on 22 October 2018. This is Australia’s largest entitlement offer so far this year.

The Offer consists of an accelerated institutional rights issue and a retail rights issue, under which eligible shareholders are invited to subscribe for 1 new share for every 1.47 existing shares at an issue price of A$15.56 per new share.

Sidley Advises on the Placing and Public Offer of MOS House Group Limited

Sidley has represented MOS House Group Limited (HKEX: 1653) (MOS House) as Hong Kong counsel in its HK$95 million (approximately US$12.1 million) placing and public offer on the Main Board of The Stock Exchange of Hong Kong Limited.

MOS House is a retailer and supplier of overseas manufactured tiles in Hong Kong, specializing in high-end European imported porcelain, ceramic and mosaic tiles.

The Sidley team was led by partner Sherlyn Lau, with support from associates Jade Lai and Deborah Pang.

Ganfeng Lithium Completes HK$3.3 Billion (US$423.5 Million) Hong Kong IPO and Rule 144A/Regulation S Offering

The Firm represented Ganfeng Lithium Co., Ltd. (“Ganfeng Lithium”) in connection with its initial public offering in Hong Kong and Rule 144A/Regulation S offering of 200,185,800 H shares (prior to the exercise of the overallotment option). The total offering size was HK$3.3 billion (approximately US$423.5 million). The H shares of Ganfeng Lithium are listed on the Hong Kong Stock Exchange. Citi acted as the sole sponsor. Citi, CICC and Deutsche Bank acted as joint coordinators, joint bookrunners and joint lead managers.
