Allen & Overy advises alstria-office REIT AG on its capital increase

Allen & Overy LLP has advised alstria office REIT-AG on its capital increase raising gross proceeds of approximately EUR 102.7 million.

The 7,901,847 new shares (10% of the company’s registered pre-transaction share capital) from alstria office REIT-AG’s authorized capital have been placed under exclusion of statutory preemptive rights with German and international institutional investors in an accelerated bookbuilding procedure at a price of EUR 13.00 per share.

Baker & McKenzie Affiliate advises on SACO IPO

Legal Advisors, Abdulaziz I. Al-Ajlan & Partners in Association with Baker & McKenzie have advised Saudi Company for Hardware (SACO) on its Initial Public Offering (IPO).

Approved by the Saudi Capital Market Authority on 31 March 2015, the sale of 7.2 million shares representing 30% of SACO's share capital.

Operating across 12 cities in Saudi Arabia, hardware retailing and wholesaling giant SACO was founded in 1984 and has 23 retail outlets.

Clayton Utz has advised Empire Oil & Gas NL in connection with its A$15.7 million raising via a placement to sophisticated and institutional investors, and a fully underwritten pro-rata non-renounceable entitlement offer, announced to the market on 25 March 2015.

Shawbrook Bank Closes IPO

Shawbrook Group plc completed its listing on the London Stock Exchange and closed its initial public offering. Shawbrook is an independent specialist lending and savings bank serving U.K.-based small and medium sized enterprises and consumers, principally in the areas of commercial mortgages, asset finance, business credit, secured lending and consumer lending.

The Paul, Weiss team advising Shawbrook included securities partner Mark Bergman. Tax assistance was provided by partner David Mayo.

Zhong Lun Advises on Lily & Beauty’s Series B Financing

Lily & Beauty, China’s leading cosmetics e-commerce company, recently announced that it has secured the US$100 million Series B financing led by Crescent HydePark.

Zhong Lun Law Firm acted as the legal counsel to Lily & Beauty and provided cross-border legal services in this transaction.  The legal team from Zhong Lun was led by Anthony Zhao, and included Mona Hu, Ada Jiang and Jane Chen.

Baker & McKenzie Advises on Major Cross-Border Egyptian IPO

Baker & McKenzie has advised new client Edita Food Industries S.A.E., one of the Middle East's leading snack food companies, on its E£2bn ($263m) initial public offering.

The shares are listed on the Egyptian Exchange and the Global Depositary Receipts (GDRs) are listed on the London Stock Exchange.

Edita was established in 1996. The company is well known for brands like Molto, TODO, Bake Rolz, Bake Stix, Mimix, HoHo's, Twinkies and Tiger Tail.
