Clifford Chance advises Clayton Dubilier & Rice on its sale of British Car Auctions

Clifford Chance has advised Clayton Dubilier & Rice (CD&R) on its sale of British Car Auctions for £1.2billion to Haversham Holdings plc by way of an accelerated IPO.

This is the second accelerated IPO used as an exit route for a private equity backed company in the last 12 months. The other was the AA's flotation last summer, on which Clifford Chance also acted. These are the only two exits of this nature from the past decade.

Clifford Chance advised Petrotec AG on its delisting from the regulated market of the Frankfurt Stock Exchange

Clifford Chance advised Petrotec AG in connection with an application for revocation of admission to trading of its shares on the regulated market (so-called delisting).

After approval of the application for revocation of the admission by the Frankfurt stock exchange, Petrotec AG's shares would then no longer be traded on any regulated market of any stock exchange.

The Petrotec Group, domiciled in Borken, is an industrial producer of waste-derived biodiesel and reached sales of EUR 167.2 million in its fiscal year 2014.

Allens advises on groundbreaking renewable energy funding deal

Allens has advised Infrastructure Capital Group (ICG) on the successful A$205 million issue in the US Private Placement (USPP) market by Hallett Hill No.2 Wind Farm.

The transaction is groundbreaking as Hallett Hill is the first Australian wind farm to issue in the USPP market. ICG acted as financial and ratings adviser to Hallett Hill in the matter.

Funds from the USPP issuance will be used to refinance Hallett Hill’s current senior debt facility. Funding will occur on 27 May 2015.

Norton Rose Fulbright has advised HSBC as the sole placing agent in the HK$1.15 billion top-up placing of 500,000,000 shares in Xinyi Solar Holdings Limited.

The net proceeds from the transaction are intended to be used as capital expenditure of solar farm projects and solar glass production plant in Malaysia and general working capital of the Xinyi Solar Group.
