Schjødt advised on the IPO of Entra

Schjødt has acted as a legal adviser to Goldman Sachs, ABG Sundal Collier and Swedbank in their capacity as joint global coordinators on the IPO of Entra ASA. In addition to being the first privatization, the IPO is also the largest in the Norwegian market in many years with a market capitalization of NOK 11.9 billion. Entra was prior to the IPO, wholly owned by the Ministry of Trade, Industry and Fisheries.

Noerr advises Close Brothers on corporate actions of PNE WIND AG

Noerr has advised Close Brother Seydler Bank AG on two corporate actions of PNE WIND AG, a capital increase with subscription rights and the issue of a convertible bond. Close Brothers was responsible for the structuring and placement of both corporate actions as sole global coordinator and sole bookrunner.

The gross proceeds from both corporate actions are approximately 40 million euros. The funds are to be invested in the endeavoured strategic development of the business model of PNE WIND AG.

PTC Therapeutics, Inc. Common Stock Offering

Davis Polk advised Credit Suisse Securities (USA) LLC and Citigroup Global Markets Inc. as joint book-running managers and representatives of the underwriters in connection with the SEC-registered offering of 3,450,000 shares of common stock of PTC Therapeutics, Inc., which included 450,000 shares from the full exercise of the underwriters’ option to purchase additional shares. The common stock is listed on the NASDAQ Global Select Market under the symbol “PTCT."   

Addleshaw Goddard advises Zeus Capital on £65m IPO of entu

Addleshaw Goddard's Manchester corporate team has advised Zeus Capital on the £65m IPO of entu on AIM. The Manchester-based home improvements business plans to have a market capitalisation of £65.6m upon admission to AIM which is expected to take place on 30 October.

Zeus were advised by corporate finance partner Roger Hart and legal director Duncan Wilson assisted by associate Katie Simpson.

Roger Hart commented: "The IPO market has been more subdued than earlier in the year, but this transaction shows that a good business can come to market."

Linklaters advises Bridgepoint and Quilter Cheviot on sale to Old Mutual

Linklaters has advised Bridgepoint and Quilter Cheviot, the UK private wealth manager, on the sale of Quilter Cheviot to financial services group Old Mutual plc in a transaction totalling £585 million.

Quilter & Co. Ltd was originally acquired by Bridgepoint at the end of 2011 in a primary buyout, which Linklaters also advised on, from Morgan Stanley Smith Barney when the specialist private client wealth management group had c.£7.6 billion of funds under management.

Linklaters advises on first Additional Tier 1 Capital issuance by a PRC bank

Linklaters advised Bank of China (“BOC”) on its landmark CNY39.94 billion (USD6.5 billion) issue of RMB-denominated US Dollar settled 6.75 per cent. offshore preferences shares. This innovative transaction is:

  * the first ever Basel III compliant Additional Tier 1 Capital issuance by a PRC bank
  * the first ever preference share issuance by a PRC company
  * the largest ever international regulatory capital issuance by a PRC bank
  * the largest ever AT1 issue in the world after the implementation of Basel III

Eversheds advises Investec on £165m Gamma Communications IPO

Eversheds has advised Investec Bank plc as Nomad, Broker and Sole Bookrunner on the £165m AIM IPO of Gamma Communications plc. The IPO saw the placing of 44,163,374 existing ordinary shares in Gamma at a price of 187 pence per share, raising gross proceeds of approximately £82.6 million for the selling shareholders. On Admission, Gamma had a market capitalisation of approximately £165.2 million.

MOL Global, Inc. Initial Public Offering and NASDAQ Listing

Davis Polk advised Citigroup Global Markets Inc., Deutsche Bank Securities Inc. and UBS Securities LLC as representatives of the underwriters of the initial public offering by MOL Global, Inc. (MOL) and certain selling shareholders of 13,500,000 American Depositary Shares, each representing one ordinary share of MOL, for a total proceeds of US$169 million. One of the selling shareholders has granted the underwriters an option to purchase up to an additional 2,025,000 ADSs. The ADSs are listed on NASDAQ under the symbol “MOLG.”  

Dechert Represents Forward Pharma in its Initial Public Offering

Dechert LLP is representing Forward Pharma A/S, a biopharmaceutical company working to advance a proprietary formulation of dimethyl fumarate for the treatment of multiple sclerosis and other immune disorders such as psoriasis, in its initial public offering. Forward Pharma announced today the pricing of 10,500,000 American Depositary Shares ("ADSs"), representing the Company's ordinary shares, at a price to the public of $21.00 per ADS. The ADSs are expected to begin trading today on the NASDAQ Global Select Market under the ticker symbol "FWP".
