Latham & Watkins Advises on Manchester United’s Latest Public Offering

Manchester United, the English Premier League football club, has announced the pricing of the public offering of 12,000,000 Class A Ordinary Shares by Red Football LLC at a price to the public of $17 per share. This is an increase from the previously announced public offering of 8,000,000 Class A Ordinary Shares by Red Football LLC. The offering is expected to close on August 11, 2014, subject to customary closing conditions.

Kirkland & Ellis Represents iDreamsky Technology on USIPO

Kirkland & Ellis represented iDreamSky Technology Limited, one of China’s largest mobile game publishing platforms, on its US$115 million public offering (IPO) of American depositary shares on NASDAQ. J.P. Morgan, Credit Suisse and Stifel acted as underwriters on the listing, which took place on August 7, 2014.

Shenzhen-based iDreamSky has launched and operates popular mobile game titles in China, including Fruit Ninja, the Temple Run series and Subway Surfers.

The Kirkland team was led by Hong Kong corporate partners David Zhang and Benjamin Su.

DWF advises GTS Chemical Holdings plc on £36.83million AIM IPO

DWF has advised GTS Chemical Holdings plc (GTS), the speciality chemicals producer and largest Chinese manufacturer of ammonium sulfite, on its £36.83million AIM IPO and £3million fundraising. The admission to AIM is the fourth IPO on which DWF has advised in the last five months.

GTS is the holding company of Shandong Tiantai Steel-Plastic Co., Ltd and the group’s business utilises waste products from the fertilising and coking industries to manufacture speciality chemicals, the uses of which include the sustainable manufacture of paper.

Norton Rose Fulbright advises Moelis Australia Asset Management on IPO of Global Wealth Partners Fund Limited

Norton Rose Fulbright acted for Moelis Australia Asset Management (MAAM), a subsidiary of Moelis & Company, in connection with the initial public offering of listed investment company Global Wealth Partners Fund Limited (“GWP”). Moelis & Company is a New York Stock Exchange listed corporate advisory firm with a market capitalisation of approximately US$1.8 billion.

The offer seeks to raise between A$100 million and A$300 million by way of shares to Australian and New Zealand retail investors, and a suite of sophisticated Australian and foreign investors.

Shearman & Sterling Advises Underwriters in Catalent, Inc. IPO

Shearman & Sterling advised underwriters Morgan Stanley, J.P. Morgan, BofA Merrill Lynch, Goldman, Sachs & Co., Jefferies, Deutsche Bank Securities, Blackstone Capital Markets, Piper Jaffray, Raymond James, Wells Fargo Securities, William Blair and Evercore in connection with the initial public offering of 42,500,000 shares of common stock of Catalent, Inc. The offering raised $871,250,000 and the shares have been listed on the New York Stock Exchange.

Davis Polk Advises JPMorgan Chase in Connection with the Spinoff of Tribune Publishing

Davis Polk advised JPMorgan Chase & Co. as a shareholder of Tribune Media Company in connection with its spinoff of Tribune Publishing Company. Pursuant to the spinoff, 25,042,263 shares of Tribune Publishing Company common stock were distributed pro-rata to the holders of Tribune Media Company Class A common stock, Class B common stock and warrants. Tribune Media Company received $275 million in connection with the spinoff, consisting of a cash dividend paid by Tribune Publishing Company prior to the spinoff.

Kirkland Advises Qihoo 360 on US$900m Notes Offering

Kirkland represented Qihoo 360 Technology Co. Ltd. in connection with the offering of US$900 million of convertible senior notes. This was the largest-ever convertible bond issued by a US-listed Chinese technology company and the largest convertible bond in Asia in the last three years. The offering consisted of a private placement of US$450 million principal amount of convertible senior notes due 2020 and US$450 million principal amount of convertible senior notes due 2021, with a 30-day over-allotment option to buy an additional US$135 million of the notes.
