White & Case Advises Suez Environnement on Its €350 Million Convertible Bonds Issuance

Global law firm White & Case LLP has advised Suez Environnement on its €350 million issuance of bonds convertible into and/or exchangeable for new or existing shares (OCEANE) due 2020.

The issuance was launched on February 24, 2014 and the net proceeds will be used to optimize the group's financing costs, diversify its funding sources and for general corporate purposes, including support for future developments.

Encore Capital Group, Inc. $161 Million 2.875% Convertible Senior Notes Offering

Davis Polk advised Morgan Stanley & Co. LLC, Barclays Capital Inc. and Deutsche Bank Securities Inc. as joint book-running managers on a Rule 144A offering by Encore Capital Group, Inc. of $161 million aggregate principal amount of its 2.875% convertible senior notes due 2021, which included $21 million aggregate principal amount sold pursuant to the initial purchasers’ fully exercised option to purchase additional notes. 

Vantiv, Inc. $591.8 Million Secondary Offering

Davis Polk advised J.P. Morgan Securities LLC as underwriter in connection with a $591.8 million SEC-registered secondary offering of 18,781,147 shares of Vantiv, Inc.'s Class A common stock by certain funds managed by Advent International Corporation. The Class A common stock is listed on the New York Stock Exchange under the symbol "VNTV."

Based in Cincinnati, Ohio, Vantiv is a leading, integrated payment processor differentiated by a single, proprietary technology platform. 

Addleshaw Goddard advises Zeus Capital on £560m IPO of Boohoo

The Manchester office of Addleshaw Goddard advised Zeus Capital in its role as nominated adviser and broker to the IPO of boohoo.com plc on AIM, which became effective today.

The IPO gave Boohoo a market capitalisation of £560m before trading commenced and raised £240m for boohoo's shareholders and £46m for the company.

The Addleshaw Goddard team was led by corporate finance partner Roger Hart and included legal director Shelley McGivern.

DLA Piper represents Coupons.com in initial public offering

DLA Piper advised Coupons.com Incorporated in its initial public offering on the New York Stock Exchange.

Coupons.com, a leader in digital coupons, operates a platform that connects brands and retailers with consumers through Web, mobile and social channels. Over 2,000 brands from more than 700 consumer packaged goods companies and many of the leading grocery, drug and mass merchandise retailers, use the company's platform to reach consumers.

This transaction represents "Silicon Valley's first pure-tech IPO of 2014," according to the San Jose Mercury News.

BankUnited, Inc $397.1 Million Block Trade

Davis Polk advised Goldman, Sachs & Co. as the underwriter on the SEC-registered $397.1 million secondary block trade of 11,853,276 shares of common stock of BankUnited, Inc. sold by investment funds affiliated with The Blackstone Group, The Carlyle Group, Centerbridge Partners, L.P. and WL Ross & Co. LLC. BankUnited's common stock is traded on the New York Stock Exchange under the symbol "BKU."

State Street Corporation's Preferred Stock Offering
