CMS advises Cenkos Securities on the IPO of RM2 International, S.A.

CMS is advising Cenkos Securities (“Cenkos”) in its capacity as Nominated Adviser and corporate broker to RM2 International, S.A. (“RM2”), which has announced its intention to float on AIM. In conjunction with its admission to AIM, Cenkos is advising RM2 on an institutional placing to raise £137.2 million at a placing price of 88 pence per share, giving RM2 an anticipated market capitalisation on admission of £278.3 million. This makes RM2’s IPO the biggest float to be announced on AIM this year. Admission is expected to occur on 6 January 2014.

Eversheds advises BOCI Asia on the Hong Kong IPO of PRC leading pharmaceutical group

The Hong Kong office of global law firm Eversheds has advised BOCI Asia Limited in connection with the HK$1.09 billion initial public offering of Consun Pharmaceutical Group Limited in Hong Kong. The company was succeesfully listed on 19 December 2013.

Consun Pharmaceutical Group Limited is an integrated pharmaceutical company principally engaged in the research, manufacturing and sale of modern Chinese medicines and medical contrast medium in the PRC. Its key product, uremic clearance granule, is the leading modern Chinese medicine for treating kidney disease in the PRC.

Travers Smith advises Benchmark Holdings Plc on AIM IPO

A Travers Smith team, led by corporate finance partner Anthony Foster, advised Benchmark Holdings plc on its AIM IPO and institutional placing to raise £27.5 million (before expenses) for the company and £17.6m for existing shareholders. Total gross proceeds from the placing amounted to £45.1 million, making this the largest fundraising in the healthcare sector this year on AIM.

The team included senior associate Athene Blakeman (corporate) and senior counsel Deborah Lincoln (commercial, IP and technology).

Olswang advises on AIM IPO for leading mobile commerce enabler

Olswang has advised MoPowered, a leading mobile commerce enabler, on its admission to trading on the London Stock Exchange's Alternative Investment Market (AIM). The placing, which was oversubscribed, raised £4.0 million in total, with gross cash proceeds for the Company of £3.64 million. MoPowered's market capitalisation on admission, based on the placing price, was approximately £15.8 million.

Ashurst advises Citi on $1.3bn sale of Ekibastuz and Kazhydro by Kazakhmys

Ashurst advised Citigroup Global Markets Limited, who acted as sponsor in relation to the sale by London listed miner Kazakhmys PLC (Kazakhmys), of its 50% interest in Ekibastuz LLP, the owner of Kazakhstan's biggest power station, and 100% of the issued share capital of Kazhydrotechenergo LLP to Samruk-Energo, a subsidiary of Samruk-Kazyna, the Kazakh sovereign wealth fund, which owns the other 50% interest in Ekibastuz LLP.

Norton Rose Fulbright advises Goldman Sachs on R5.482 billion (US$525 million) rights offer

Norton Rose Fulbright has advised Goldman Sachs International on the successful R5.482 billion (US$525 million) rights offer of African Bank Investments Limited. The rights offer, which was oversubscribed by 64%, was fully underwritten by Goldman Sachs International and saw over 685 million new shares issued to the bank’s existing shareholders.

African Bank Investments Limited is the largest provider of unsecured loans in South Africa and is listed on the Johannesburg Stock Exchange.

Hogan Lovells Advises on IPO of Times Property Holdings

Hogan Lovells advised UBS AG, Hong Kong Branch ("UBS"), Haitong International Securities Company Limited and ABCI Capital Limited on the US$199 million Hong Kong IPO and Rule 144A placing of Times Property Holdings Limited, one of the leading property developers in Guangdong Province, China.

The Hogan Lovells team advising on the transactions was led by Hong Kong partner Terence Lau and supported by partner Thomas Tarala, consultant Nelson Tang, senior associate Donald Fung and associates Priscilla Lee, Don Chan, Sheryl Cheung, Cristine Lam and Jianhao Zheng.

Freshfields advises on US$2.5bn IPO of Cinda Asset Management

Freshfields Bruckhaus Deringer has advised a consortium of underwriters for the US$2.5bn IPO of Cinda Asset Management Co. Ltd on the Hong Kong Stock Exchange, which took place today and is the largest IPO in Hong Kong in the year to date.

The underwriting consortium is comprised of 18 banks, including Bank of America Merrill Lynch, Credit Suisse, Goldman Sachs, Morgan Stanley, UBS, BOCI and CCB International.

Freshfields advised the underwriters on both the United States and Hong Kong aspects of the offering.

Clyde & Co advises Westhouse Holdings on innovative fundraising and takeover offer

Clyde & Co has advised Westhouse Holdings plc on a takeover offer from one of its strategic shareholders, Somers Limited, formerly Bermuda National Limited.

Westhouse is the parent company of Westhouse Securities Limited, an FCA-regulated stockbroking company with particular expertise in growth companies, mining, oil and gas, insurance, media and investment funds. Somers is an investment holding company specialising in the financial services sector with a capital base in excess of $200m and assets under administration of $6.5bn.
