Clifford Chance advises on PW Medtech's HK$1.2 billion listing

Clifford Chance has advised Morgan Stanley as the sole underwriter and bookrunner of the global offering of PW Medtech's HK$1.2 billion (approx. US$155 million) listing on the Main Board of the Stock Exchange of Hong Kong.

A total of 400 million shares were on offer and priced at HK$3.18 each. The offering was 19.33 times oversubscribed.

Partner Tim Wang who led on this transaction, said, "I'm pleased to have worked on this listing, which was very well received by the market."

NH Hoteles - EUR 250 million issue of senior unsecured convertible bonds

Slaughter and May, working as a team with Uría Menéndez, advised NH Hoteles, S.A. on its issue of EUR 250 million 4% senior unsecured convertible bonds, with the aggregate principal amount of the securities, the coupon rate and the conversion price determined following an accelerated book building exercise by Barclays Capital plc, BNP Paribas and Morgan Stanley & Co., International plc (acting as Joint Lead Managers) conducted on 31 October 2013.

LLC as underwriters in connection with an $835 million SEC-registered secondary offering of 5,965,304 common shares in the capital of Canadian Pacific Railway Limited (CP) by certain funds managed by Pershing Square Capital Management, L.P. The common shares are listed on the New York Stock Exchange and the Toronto Stock Exchange under the symbol “CP.”  

ING U.S., Inc. $1.12 Billion Secondary Offering

Davis Polk advised Morgan Stanley & Co. LLC, Goldman, Sachs & Co., Citigroup Global Markets Inc., and Merrill Lynch, Pierce, Fenner & Smith Incorporated as representatives of the several underwriters in connection with the SEC-registered secondary offering of 37,950,000 shares of common stock of ING U.S., Inc., which included 4,950,000 shares sold pursuant to the underwriters’ fully exercised option to purchase additional shares. Total gross proceeds to ING Groep N.V., ING U.S.’s parent company and the selling stockholder in the offering, were $1.12 billion.

Common Stock and Mandatory Convertible Preferred Stock Public Offering by Crown Castle

Cravath represented Crown Castle International Corp. in connection with its US$3.063 billion offering of 41,400,000 shares of its common stock and its US$977.5 million offering of 9,775,000 shares of its Mandatory Convertible Preferred Stock.

Crown Castle expects to use the net proceeds from these offerings to finance a portion of the consideration to be paid to AT&T Inc. and its affiliates in connection with the recently announced tower transaction between Crown Castle and AT&T. The offerings closed on October 28, 2013.

Yelp Inc. Follow-On Offering

Davis Polk advised the underwriters in connection with a follow-on offering of 4,312,500 shares of Class A common stock of Yelp Inc. The offering resulted in gross proceeds of approximately $288.9 million. Goldman, Sachs & Co., Citigroup Global Markets Inc. and Jefferies LLC acted as joint book-running managers of the offering. Oppenheimer & Co. Inc. and Cowen and Company, LLC acted as co-managers. Yelp’s Class A common stock is traded on the New York Stock Exchange under the symbol “YELP.”

Allen & Overy advises BNP Paribas in connection with capital raising by AIXTRON SE

Allen & Overy LLP has advised BNP Paribas in connection with a capital increase of AIXTRON SE in the amount of approximately 100 million euros. The capital increase was by way of  a private placement on an accelerated placement process (accelerated bookbuilding). AIXTRON SE issued 10,223,133 new shares from authorized capital to international institutional investors at a price of 9.90 euros per share. The offer comprises almost 10% of the registered share capital of AIXTRON SE before the transaction.
