Paul Hastings Represents Initial Purchasers in Fibra Danhos’ $400 Million International IPO

Paul Hastings LLP, a leading global law firm, announced that it represented Goldman Sachs as global coordinator and other initial purchasers in connection with the initial international offering by Fibra Danhos of its trust certificates. Fibra Danhos is among a handful of Mexican Real Estate Investment Trusts (REITs) to be utilized in the wake of a comprehensive legal overhaul in Mexico that created the “FIBRA,” a new Mexican investment vehicle which bears many similarities to the U.S. REIT.

Paul Hastings Advises on Haitong International’s Further Issuance of Convertible Bonds

Paul Hastings represented Haitong International Securities Group Limited (“Haitong International”), a subsidiary of Haitong Securities Co., Ltd., the second largest securities firm in China by total assets, in its further issuance of HK$232 million (US$29.9 million) 1.25% convertible bonds due 2018, to be consolidated and to form a single series with the HK$776 million (US$100 million) existing convertible bonds issued on 18 July 2013. HSBC was the lead manager on the transaction.

Hogan Lovells Helps Five Prime raise US$71.8 million in IPO

Our Corporate lawyers from the Silicon Valley office helped another biotech company finance its operations and enter the public market. Five Prime Therapeutics, Inc. (Five Prime) announced in September the closing of its initial public offering of 5.52 million shares (including 720,000 shares to cover overallotments), resulting in aggregate gross proceeds of US$71.8 million before underwriting discounts, commissions, and expenses. The shares were sold at US$13 each.

Infinis and principal shareholder, Terra Firma - proposed initial public offering

Slaughter and May is advising Infinis and its principal shareholder, Terra Firma, on its intention to proceed with an initial public offering of its ordinary shares, as announced on 21 October 2013.

Infinis is the leading independent renewable energy generator in the UK and the third largest generator of renewable power produced under the Renewables Obligation regime in the UK. It is the largest generator of electricity from landfill gas in the UK and one of the leading UK onshore wind generators.

McDermott Represents ROI Acquisition Corp. II in $125 Million IPO

International law firm McDermott Will & Emery represented ROI Acquisition Corp. II (NASDAQ: ROIQU), a special purpose acquisition company (SPAC), in its initial public offering of 12,500,000 units, each consisting of one share of common stock and one warrant exercisable for one-half of a share of common stock.  The units were sold at an offering price of $10.00 per unit for gross proceeds of approximately $125 million.  Deutsche Bank Securities Inc. acted as the sole book running manager and representative of the underwriters of the offering.

KYTHERA Biopharmaceuticals Follow-On Offering

Davis Polk advised the underwriters in connection with a follow-on offering of 2,622,950 shares of common stock of KYTHERA Biopharmaceuticals, Inc. at $45.75 per share. The offering resulted in gross proceeds of approximately $120.0 million. J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated acted as joint book-running managers and representatives of the underwriters for the offering. Leerink Swann LLC also acted as a joint book-running manager. Cowen and Company, LLC acted as co-manager.

Debevoise advises management of Arrow Global in premium listing

The London office of Debevoise & Plimpton has advised the executive management and certain other shareholders of Arrow Global Group PLC (“Arrow”) on its successful IPO, which valued the company at £357 million.

Arrow is one of the UK’s largest and fastest growing consumer debt purchasers and providers of receivables management solutions.
