Travers Smith Acts on Dignity Plc Placing

Corporate partner Richard Spedding is advising Investec Bank plc and Panmure Gordon (UK) Limited on the £24.2m placing by Dignity plc announced today.

The placing proceeds will be used to part fund the £58.3m acquisition of Yew Holdings Limited, comprising 40 funeral locations and two crematoria in the North of England. Investec and Panmure Gordon have fully underwritten the placing.

Richard is assisted by senior corporate associate Daniel Simons.  US Securities law advice has been provided by US partner Charles Casassa and senior associate Dan McNamee.

Chinalco Mining Corporation International - Hong Kong IPO

Slaughter and May, Hong Kong, advised Chinalco Mining Corporation International ("CMC") in relation to the global offering of its shares and listing on the Main Board of the Stock Exchange of Hong Kong. The global offering has raised approximately US$397 million. The joint lead managers in respect of the global offering are Morgan Stanley, BNP Paribas, China International Capital Corporation, Standard Chartered, HSBC and CCB International Capital Limited.

The capital injection by 1886 Investments Ltd and other equity investors will help TLC to develop its three-pronged business strategy which focuses on providing tuition services to UK schools, UK consumers and the international market through its online learning platform.

In one of the first initial public offerings (IPOs) of 2013, Clyde & Co LLP in association with Abdulaziz Al-Bosaily Law Office has advised Northern Region Cement Company (NRC) on its IPO of 90 million shares at SAR 10 a share. The IPO represents 50% of the company's share capital at an aggregate offer price of SAR 900 million (equivalent to approximately USD 240 million).

Clyde & Co LLP in association with Abdulaziz Al-Bosaily Law Office has advised Saudi Hollandi Capital who served as underwriters on the issuance of SAR 87 million (approximately USD 23.2 million) rights issue shares by Anaam International Holding Group (the "Company").

The Tadawul-listed Company offered 8.7 million common shares, to raise capital by 79.82% from SAR 109 million to SAR 196 million. The Company announced in the subscription prospectus that proceeds will be used in financing the Company’s future plans.
