CMS advises solar plant and wind farm operator Encavis on structuring and issuing a scrip dividend

Frankfurt/Main – CMS has again advised Hamburg-based solar plant and wind farm operator Encavis AG on issuing a scrip dividend. This is the fifth time that Encavis has given its shareholders the choice of receiving the dividend in cash or in the form of new shares in the company. This year’s cash dividend was EUR 0.22 per share. The acceptance rate for the scrip dividend was almost 40%.

Simpson Thacher Represents International Managers in US$1.19 Billion Equity Offering of Mercari

Simpson Thacher recently represented Morgan Stanley & Co. International, Daiwa Capital Markets Europe, J.P. Morgan Securities, Merrill Lynch International, SMBC Capital Markets and Mizuho International, the international joint lead managers of a ¥130.6 billion (approximately US$1.19 billion) offering of 43,554,800 shares of Mercari, Inc. (“Mercari”). The global offering included an international offering to institutional investors outside Japan in reliance on Rule 144A and Regulation S. The offering was the largest equity offering in Japan to date this year.

Jeantet advised COGELEC, the French leader in access control systems for building complexes, on its initial public offering on the regulated market of Euronext Paris, for a total of € 38.7 million (including € 20.9 million through the issuance of new shares and € 17.8 million through the sale of existing shares).

Following the subscription period opened as from May 29, 2018, the subscriptions related to 5,476,276 shares, meaning that the offering was 1.8 times oversubscribed, in particular thanks to the support of leading European institutional investors.

The capital securities tendered for had an aggregate principal amount outstanding of approximately £1,785,000,000, of which approximately £1,067,000,000 will remain outstanding following the tender offers. The tender offers were made on 4 June 2018 and the results of the tender offers were announced on 12 June 2018.
