Slaughter and May advised Workspace on its placing of shares

Slaughter and May advised Workspace Group PLC in connection with the placing of approximately 9.96% of its existing issued ordinary share capital, which raised gross proceeds of approximately £179.5 million.

The Placing, which was announced on 6 June 2018, was conducted by way of an accelerated bookbuilding process. Merrill Lynch International and Liberum Capital Limited acted as joint bookrunners and joint sponsors in respect of the Placing.

BCLP advises Gett on US$80m equity raise

BCLP has advised existing client Gett, the global on-demand mobility company, on a US$80m equity fundraise from existing shareholders.

The transaction required close collaboration between Gett’s General Counsel, Shana Hook, the BCLP London and Moscow offices and local counsel in Gett’s other jurisdictions (covering The Netherlands, the US, Israel and Cyprus).

The BCLP team was led by Daisy Reeves, Derek Hrydziuszko and Stewart Anderson.

Hogan Lovells advised Sesen Bio, Inc., a late-stage clinical company developing next-generation antibody-drug conjugate therapies for the treatment of cancer, in an approximate US$46 million follow-on public offering led by Jefferies and Canaccord Genuity. Sesen Bio intends to use the net proceeds from this offering for, among other things, the clinical development of Vicinium™ for the treatment of high-grade non-muscle invasive bladder cancer and the development of commercial-scale manufacturing capabilities.

Today, on 5 June 2018, NCAB was listed on Nasdaq Stockholm. The price per share in the IPO was SEK 75, corresponding to a total value of the outstanding shares in NCAB upon completion of the IPO of SEK 1,264 million.

Gowling WLG advises leading video games maker Codemasters on £280m IPO

Gowling WLG has advised leading video games maker Codemasters on its admission to the AIM market of the London Stock Exchange plc.

Codemasters - one of the oldest names in the UK video games industry - and its shareholders have raised £185m in an oversubscribed placing of existing shares and new shares. The Warwickshire-based company employs more than 500 people and is well known for developing high quality racing games, including the official range of Formula One racing games.

International law firm Pinsent Masons Germany LLP has advised STS Group AG on its IPO on the Frankfurt Stock Exchange (Prime Standard).

STS Group AG, one of the world's leading system suppliers of interior and exterior parts for commercial vehicles and subsidiaries of mutares AG, has successfully completed its IPO.

The company listed on the regulated market of the Frankfurt Stock Exchange (Prime Standard) on June 1, 2018. The placement volume including the greenshoe option was approximately EUR 55 million.

Slaughter and May is advising DS Smith plc, a leading international packaging business, on the proposed acquisition of Papeles y Cartones de Europa, S.A., known as “Europac”, a leading Western European integrated packaging business (the “Acquisition”).

The Acquisition was announced on 4 June 2018 and will be structured by way of voluntary cash tender offer for the entire share capital of Europac, listed on the stock markets of Madrid and Barcelona. The offer price of €16.80 per share values Europac at €1,667 million (£1,453 million).
