Baker McKenzie advisor to LeoVegas in connection with its listing on Nasdaq Stockholm

Today, 5 February 2018, the Swedish mobile gaming operator LeoVegas starts trading on Nasdaq Stockholm. LeoVegas was previously listed on First North Premier.

Baker McKenzie is acting as legal adviser to LeoVegas in connection with the change of listing to Nasdaq Stockholm. Baker McKenzie's team consists mainly of Anders Fast, Joakim Falkner, Per Blom, Johanna Flink, Henric Roth, Stefan Balazs and Linnea Back.

Herbert Smith Freehills advises joint lead managers on Westpac's A$750 million Offer of Westpac Capital Notes 5 and Westpac CPS Reinvestment Offer

Herbert Smith Freehills has advised the joint lead managers of Westpac Banking Corporation’s (Westpac) offer of new Additional Tier 1 capital securities known as Westpac Capital Notes 5 (Notes), which will seek to raise up to A$750 million, with the ability to raise more or less (Offer).

Westpac also announced a reinvestment offer under which eligible holders of Westpac CPS may apply to sell some or all of their Westpac CPS and reinvest the proceeds in the Notes (Reinvestment Offer).

Osborne Clarke advises TalkTalk on £200 million placing

International legal practice Osborne Clarke has advised TalkTalk Telecom Group plc on its successful £200 million cashbox placing to strengthen its balance sheet, support its continued customer growth and its investment in its long-term fibre plans announced today (8 February).

Davis Polk Advises Nordic Capital on Its Proposed Acquisition of Nordax

Davis Polk is advising Nordic Capital on a public cash offer to the shareholders of Nordax Group AB to acquire all outstanding shares for SEK 60 per share. The board of directors of Nordax unanimously recommended the offer.

Nordic Capital is a private equity investor in the Nordic region with a commitment to creating stronger, sustainable businesses through operational improvement and transformative growth. Nordax is a niche bank in Northern Europe, providing unsecured consumer loans and deposits to customers in Sweden, Norway, Finland and Germany.

McDermott Advises Bank Consortium on Capital Increase of ProCredit Holding

International law firm McDermott Will & Emery advised a bank consortium consisting of Joh. Berenberg, Gossler & Co. KG und equinet Bank AG on a capital increase of ProCredit Holding AG & Co KGaA. 5,354,408 newly issued shares were placed with qualified investors by way of an accelerated book-building process at a price of EUR 11.40 per new share, resulting in gross proceeds of approx. EUR 61 million. The company’s shares are traded on the Prime Standard segment of the Frankfurt Stock Exchange.

Davis Polk Advises Hudson Ltd. on Its $748.9 Million Initial Public Offering

Davis Polk advised Dufry AG (Dufry) and its subsidiary, Hudson Ltd., in connection with the $748.9 million initial public offering of 39,417,765 Class A common shares of Hudson Ltd. The Class A common shares were sold by Dufry International AG, a wholly owned subsidiary of Dufry. Dufry International AG granted the underwriters an option to purchase up to an additional 5,912,664 Class A common shares of Hudson Ltd. to cover over-allotments, if any. The Class A common shares are listed on the New York Stock Exchange under the symbol “HUD.”

Allen & Overy advises alstria office REIT-AG on its capital increase

Allen & Overy LLP has advised alstria office REIT-AG on its capital increase raising gross proceeds of approximately EUR 193 million. The 15,323,121 new shares (10% of the company’s registered pre-transaction share capital) from alstria office REIT-AG’s authorized capital have been placed under exclusion of statutory preemptive rights with German and international institutional investors in an accelerated bookbuilding procedure at a price of EUR 12.60 per share.

Herbert Smith Freehills advise China Shipbuilding Industry Corporation on its US$1 billion exchangeable bond debut

Leading global law firm Herbert Smith Freehills has advised state-owned China Shipbuilding Industry Corporation (CSIC) on the issue of US$1 billion bonds exchangeable into shares of Hong Kong- listed Postal Savings Bank of China (PSBC).   

The zero coupon exchangeable bonds due 2025 are supported by a securities lending agreement and a keepwell deed, and will be listed on the Frankfurt Stock Exchange. It marks CSIC's first public transaction into the overseas capital markets.

Slaughter and May advised Ocado Group plc on a placing of approximately 4.9% of its existing ordinary share capital which raised gross proceeds of £143,158,925. The placing, which announced on 6 February 2018, was conducted as an accelerated bookbuild process. Goldman Sachs International and Numis Securities Limited acted as joint bookrunners and joint corporate brokers in connection with the transaction.
