Herbert Smith Freehills advises China Everbright Bank on US$4 billion H-share placement

Leading global law firm Herbert Smith Freehills has advised China Everbright Bank on its issue and private placement of 5.8 billion new H shares on the Hong Kong Stock Exchange.

The placement was made to China Everbright Group Limited and Overseas Chinese Town Enterprises Company, and completed on 22 December after Chinese regulatory approval was received. It injects close to US$4 billion into the bank, a Hong Kong and Shanghai listed company and one of the largest commercial banks in China.

Freshfields Bruckhaus Deringer (“Freshfields”) has advised China International Capital Corporation Hong Kong Securities Limited, the lead financial advisor and lead placing agent in the strategic placement of US$3.97 billion of H-shares by China Everbright Bank Company Limited (‘China Everbright Bank’) to Overseas Chinese Town Enterprises Company and China Everbright Group Limited.

The deal closed on 22 December 2017. The shares are listed on the Hong Kong Stock Exchange.

ARUHI Completes ¥23.5 Billion Initial Public Offering

Simpson Thacher recently represented ARUHI Corporation in connection with its ¥23.5 billion (approximately US$210 million) global offering of shares, including an offering to institutional investors outside Japan pursuant to Rule 144A and Regulation S under the Securities Act. All of the shares in the international offering were sold by a fund affiliated with The Carlyle Group.

King & Wood Mallesons advises China Everbright Bank on its HKD 31billion non-public issuance of H-shares in Hong Kong

15 December, China Securities Regulatory Commission (the “CSRC”) approved the non-public issuance of H Shares in Hong Kong by the China Everbright Bank Company Limited (“CEB Bank”, 06818.HK) . In this transaction, CEB Bank issued no more than a total of 5.81 billion H-shares of common stock, with a par value of RMB 1. The issue price is HKD 5.3283 per share, representing a 48% premium to the closing price on the announcement date.

As part of the admission process, Erris Resources raised £4million through a placing of 16,000,000 new ordinary shares at a placing price of 25 pence each, implying a market cap of £7.8million on Admission.

IPO of Lyko on Nasdaq First North Premier

On 12 December 2017, Lyko Group AB (publ) was listed on Nasdaq First North Premier. The price per share in the IPO was SEK 50, corresponding to a total market  cap of approximately SEK 766 million.

Lyko is an omni channel platform for hair care and beauty and its business consists of e-commerce platforms Lyko.se and Lyko.no, as well as 40 wholly owned stores spread across Sweden and Norway. Lyko has offices in Stockholm and Vansbro, and currently employs around 500 professionals.

Baker McKenzie acted as Australian and U.S. legal counsel to Macquarie Capital (Australia) Limited and J.P. Morgan Australia Limited, as joint lead managers of a fully underwritten A$100 million institutional placement and subsequent share purchase plan by Steadfast Group Limited. The proceeds from the capital raising will be used by Steadfast Group to fund its A$95 million acquisition of Whitbread Insurance Group and provide funds for future growth.

Simpson Thacher represented the International Managers, Morgan Stanley and Daiwa Securities, in a ¥116 billion (approximately US$1 billion) initial public offering of shares of SG Holdings Co., Ltd. (“SG Holdings”). The selling shareholder in the IPO was SG Holdings Group Employee Shareholding Association. The global offering included an international offering to investors outside Japan and the United States in reliance on Regulation S.

Linklaters advised J.P Morgan, acting as the presenting bank alongside BNP Paribas, in relation to a potential takeover bid, followed by a squeeze-out targeting shares in the SFR group initiated by Altice.

The Linklaters team was managed by Marc Petitier, a partner in the Corporate division. Cyril Abtan, partner, dealt with the aspects of the counter-guarantee for the presenting banks.
