JSL Europe’s $325 Million Offering

Cleary Gottlieb represented Morgan Stanley & Co. LLC, Santander Investment Securities Inc., J.P. Morgan Securities LLC, BB Securities Limited, Banco Bradesco BBI S.A., Banco BTG Pactual S.A.—Cayman Branch and XP Securities LLC as the initial purchasers in the $325 million bond offering by JSL Europe, guaranteed by JSL S.A.

The bond offering consisted of a private placement in the United States under Rule 144A and outside of the United States in reliance on Regulation S.

DLA Piper (Canada) LLP advises TokenFunder in connection with the first Initial Token Offering approved by the Ontario Securities Commission

The Ontario Securities Commission (OSC) publicly announced the granting of the first OSC exemptive relief order in connection with a token offering in Canada.  The order will allow TokenFunder Inc., a Toronto-based blockchain business, to sell digital tokens to raise funds to create a “smart token asset management platform” (STAMP) to facilitate third-party issuers raising capital through the offering of blockchain-based securities, including tokens and coins.

Herbert Smith Freehills advises on largest Indian IPO since 2010

Leading global law firm Herbert Smith Freehills has advised a five-bank syndicate on the US$1.75 billion IPO on the Bombay Stock Exchange and Rule 144A/Regulation S global offering of General Insurance Corporation (GIC), India's largest re-insurer.

This was the largest Indian IPO in seven years since Coal India in 2010, and the third largest IPO in the history of the Indian capital markets.

The bank syndicate was led by Citigroup, and also comprised Deutsche Bank, HSBC, Axis Capital and Kotak.

RISE Education Cayman Ltd Initial Public Offering

Davis Polk advised the representatives of the underwriters on the initial public offering by RISE Education Cayman Ltd and certain selling shareholders of 12,650,000 American Depositary Shares, each representing two ordinary share of RISE, for total proceeds of $171 million, reflecting full exercise of the option granted by one selling shareholder to purchase up to an additional 1,650,000 ADSs. The ADSs are listed on NASDAQ under the symbol “REDU.”

CIFI Holdings (Group) Co. Ltd. $300 Million Senior Perpetual Capital Securities Offering

Established in 2000 and headquartered in Shanghai, CIFI Holdings (Group) Co. Ltd. is engaged in the property development and property investment business in China.

KMG Chemicals, Inc. Follow-On Offering

Davis Polk advised the representative of the several underwriters in connection with the $186.3 million follow-on offering of 3,450,000 shares of common stock of KMG Chemicals, Inc., which included 450,000 shares from the full exercise of the underwriters’ option to purchase additional shares. The common stock is listed on the NYSE under the symbol “KMG.”

KMG, through its subsidiaries, produces and distributes specialty chemicals and performance materials for the semiconductor, industrial wood preservation and pipeline and energy markets.

Slaughter and May advised HomeServe plc on its placing of shares

Slaughter and May advised HomeServe plc on a placing of approximately 4.9% of its existing ordinary share capital which raised gross proceeds of approximately £125 million. The placing, which was announced on 19 October 2017, was conducted by an accelerated bookbuilding process. J.P. Morgan Cazenove and UBS Limited acted as joint bookrunners, joint sponsors and joint corporate brokers in connection with the placing.

LLC, Bradesco Securities, Inc., Citigroup Global Markets Inc. and Santander Investment Securities Inc., as placement agents, in connection with the “re-IPO” of 79,655,172 common shares of Eneva S.A. (“Eneva”) for an aggregate amount of R$876 million (approximately US$279 million). The common shares were offered to certain institutional investors in Brazil, to qualified institutional buyers in the United States under Rule 144A, and to non-U.S.

Qudian Completes US$975.5 Million NYSE IPO

Simpson Thacher represented Qudian Inc. (“Qudian”) in connection with its initial public offering and listing on the New York Stock Exchange. The offering was comprised of 43,125,000 American Depositary Shares, representing 43,125,000 Class A ordinary shares, and raised a total of approximately US$975.5 million in gross proceeds, including full exercise of the underwriters’ overallotment option. Morgan Stanley, Credit Suisse, Citigroup, CICC and UBS Investment Bank acted as representatives to the underwriters of the offering.
