WFW advises HSH Nordbank on financing of two photovoltaic plants in France

Watson Farley & Williams (“WFW”) has advised HSH Nordbank AG on the implementation of and related negotiations for the financing of the construction, development and operation of two photovoltaic plants in France with an overall capacity of 18.58 MW. The firm also led on the preliminary due diligence review and the negotiation of project contracts.

WFW advises on Q-Energy bond issue for the refinancing of two Spanish photovoltaic plants

Watson Farley & Williams (“WFW”) advised Banco Santander as lender on a €37.750m bond issue by Q-Energy for the refinancing of two photovoltaic plants with a total capacity of 7.1 MW located in Leon and Cordoba, Spain. With this third bonds issue, Q-Energy becomes the platform of reference for renewables project bonds issues in Spain.

The bonds issued are subject to Spanish law, and were subscribed by institutional investors through a private placement and traded on the “Quotation Board” of the Frankfurt Stock Exchange.

White & Case Advises Banks on €1.57 Billion Superstrada Pedemontana Veneta "Greenfield" Project Bond

Global law firm White & Case LLP has advised J.P. Morgan as Global Co-ordinator, and Banca IMI, Santander, Banca Akros and Kommunalkredit, on a landmark project bond financing for the construction of the Superstrada Pedemontana Veneta toll road in the Veneto region of Italy.

The transaction comprises the issuance of €1.221 billion variable rate senior secured amortizing notes and €350 million step-up subordinated secured notes in an innovative "bond only" capital structure where the junior notes provide a capital cushion during the construction phase.

CMS Cameron McKenna Nabarro Olswang in Kyiv is pleased to announce that our law firm has recently advised the European Bank for Reconstruction and Development (EBRD) on improvement of energy efficiency of public buildings in Ukraine. The city of Kremenchuk in central Ukraine is the first municipality to receive funding under the EBRD’s Public Sector Energy Efficiency Financing Framework (PSEEF). EBRD will provide loan financing of up to €7.5m and a €1.5m grant to the Communal Enterprise “Kremenchuk Municipal Energy Service Company”.

Law firm Stephenson Harwood LLP has advised China Development Bank on the US$1.6 billion financing of six Arc7 LNG carrier newbuildings for a joint venture between Teekay LNG Partners and China LNG Shipping. The first vessel – EDUARD TOLL – was delivered earlier this month.

The vessels will operate under long-term charters servicing the Yamal LNG project in Russia and will have ice-breaking capabilities which will enable year-round use of the Arctic sea routes.

The energy group STEAG GmbH based in Essen has successfully refinanced the acquisition of two incineration plants through external funding. In early/mid-2017 STEAG Waste to Energy GmbH acquired Vattenfall's shares in the plants Thermische Abfallbehandlung Lauta GmbH & Co. oHG and IKW Rüdersdorf GmbH. Clifford Chance provided legal advice to the banks concluding the loan agreement, Landesbank Hessen-Thüringen Girozentrale and KfW IPEX-Bank GmbH.
